2. Purchase Order Summary

This Purchase Order is issued by Wellington Chemist & Pharmacy Supplies Ltd. (hereinafter referred to as "the Chemist") for the procurement of pharmaceutical products, medical supplies, and general retail goods to be delivered to our primary retail location in New Zealand Wellington. This document constitutes a binding request for supply and must be acknowledged by the supplier within five (5) business days of receipt. All goods ordered under this Purchase Order are subject to the terms and conditions outlined in Section 6 of this document and to the applicable legislation of New Zealand, including the Medicines Act 1981, the Health and Disability Commissioner Act 2023, and the Fair Trading Act 1986.

4. Delivery and Logistics

All goods specified in this Purchase Order must be delivered to the Chemist's primary dispensary and retail premises located at 12 Lambton Quay, Te Aro, Wellington 6011, New Zealand Wellington. Delivery is to be made between the hours of 07:00 and 15:00 (NZST) on a weekday. The supplier is responsible for all freight, insurance, and handling charges up to the point of delivery at the Chemist's loading dock. Perishable and temperature-sensitive pharmaceutical items (including but not limited to Line 05 – Insulin Glargine) must be transported in validated cold-chain packaging maintained at 2°C to 8°C throughout transit. The Chemist reserves the right to reject any consignment that does not meet the specified temperature requirements or that arrives in damaged packaging. A signed delivery note must be provided by the courier upon receipt, and the Chemist's store manager will inspect all items within forty-eight (48) hours of delivery to confirm quantity and condition.

5. Payment Terms

Payment for this Purchase Order shall be made by electronic funds transfer (EFT) to the supplier's nominated bank account within thirty (30) calendar days from the date of the supplier's invoice, provided that all goods have been received and accepted by the Chemist in satisfactory condition. The supplier's invoice must reference this Purchase Order number (NZ-WLG-2025-04872) and must include a valid GST breakdown as required by the Inland Revenue Department of New Zealand. Late payments, where not attributable to the Chemist, will incur interest at the rate of 1.5% per month on the outstanding balance. The Chemist shall not be liable for any payment on goods that are found to be defective, expired, or non-conforming to the specifications stated in this Purchase Order.

6. Terms and Conditions

This Purchase Order is governed by the laws of New Zealand and shall be interpreted in accordance with the Contract and Commercial Law Act 2014.
All pharmaceutical products supplied must comply with the standards set by the Medicines and Medical Devices Safety Authority (Medsafe) and must carry valid Australian/New Zealand (ANZ) registration numbers where applicable.
The supplier warrants that all goods supplied under this Purchase Order are new, unused, and within their full shelf life (minimum 18 months remaining at the point of delivery to the Chemist).
The Chemist reserves the right to vary, amend, or cancel this Purchase Order in whole or in part by written notice to the supplier, provided such notice is given no fewer than seven (7) business days prior to the required delivery date.
The supplier shall maintain adequate product liability insurance with a minimum cover of NZD 10,000,000 for any claims arising from the supply of goods under this Purchase Order.
All personal health information and patient data handled in connection with this Purchase Order shall be protected in accordance with the Privacy Act 2020 of New Zealand.
Disputes arising from this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be referred to mediation under the rules of the Disputes Tribunal of New Zealand, or to the District Court of Wellington if the amount in dispute exceeds NZD 50,000.
This Purchase Order does not constitute a long-term supply agreement. Each order placed by the Chemist shall be treated as a discrete transaction unless otherwise agreed in writing by both parties.

7. Authorisation and Acceptance

This Purchase Order is issued and authorised by the undersigned on behalf of Wellington Chemist & Pharmacy Supplies Ltd. The supplier is requested to confirm acceptance of this Purchase Order by signing and returning a copy within five (5) business days. Failure to confirm within this period shall be taken as a declination of the order, and the Chemist shall be at liberty to source the required goods from an alternative supplier.
