- This Purchase Order is issued by Al-Madina Chemist & Pharmaceutical Supplies (Pvt.) Ltd., a registered Chemist and pharmaceutical retail entity operating in Pakistan Karachi, and constitutes a binding commercial agreement upon acceptance by the supplier.
- All chemical reagents, laboratory glassware, and equipment listed in this Purchase Order must comply with the standards set by the Drug Regulatory Authority of Pakistan (DRAP) and the Pakistan Standards and Quality Control Authority (PSQCA). The Chemist buyer reserves the right to reject any shipment that does not meet the specified purity grades or safety certifications.
- Delivery of all items shall be made to the Chemist's warehouse and retail premises located in Clifton Block 5, Pakistan Karachi, no later than 28 June 2025. The supplier is responsible for all packaging, handling, and transportation costs within the Karachi metropolitan area.
- Payment of the total amount of PKR 935,260.00 shall be made within thirty (30) calendar days from the date of confirmed delivery and acceptance of goods by the Chemist's quality assurance team. Payment shall be processed via bank transfer to the supplier's designated account in a commercial bank operating in Pakistan Karachi.
- The supplier warrants that all hazardous chemicals (including Sodium Hydroxide, Hydrochloric Acid, and Acetone) shall be shipped in compliance with the Hazardous Materials Regulations of Pakistan and shall be accompanied by valid Material Safety Data Sheets (MSDS/SDS) for each chemical product.
- Any dispute arising from this Purchase Order shall be resolved through arbitration in Karachi, Sindh, Pakistan, in accordance with the Arbitration Act, 1940 of Pakistan. The jurisdiction of the courts of Pakistan Karachi shall be exclusively applicable.
- The Chemist buyer may issue a partial delivery instruction by written amendment to this Purchase Order. No verbal modifications shall be considered valid. All amendments must be countersigned by both parties.
- Force majeure events, including but not limited to natural disasters, government-imposed lockdowns in Pakistan Karachi, or port closures at Karachi Port, shall extend the delivery deadline proportionally without penalty to either party.
- This Purchase Order is governed by the Sale of Goods Act, 1930, and the Consumer Protection Act, 2019, as applicable in the province of Sindh, Pakistan.
