- Delivery Location: All items listed in this Purchase Order shall be delivered to the Manila Chemist & Pharmaceutical Supply Co., Inc. warehouse located at Unit 1204, Ayala Center, Makati City, Philippines Manila 1226. The supplier shall bear all transportation costs within the Philippines Manila metropolitan area.
- Delivery Schedule: The supplier is required to deliver all chemist-grade materials and pharmaceutical reagents within fourteen (14) calendar days from the date of this Purchase Order. Partial deliveries are permitted only with prior written approval from the buyer's procurement department.
- Quality Assurance: All chemist products must comply with the Philippine Food and Drug Administration (FDA) standards and the United States Pharmacopeia (USP) or European Pharmacopoeia (EP) specifications. Each shipment must be accompanied by a Certificate of Analysis (CoA) and a Material Safety Data Sheet (MSDS) for all hazardous chemist reagents.
- Payment Terms: Payment shall be made within thirty (30) days from the date of invoice receipt, via bank transfer to the supplier's designated account. Late payments shall incur a penalty of 1.5% per month on the outstanding balance.
- Acceptance and Inspection: The buyer reserves the right to inspect all delivered chemist goods within five (5) business days of arrival at the Philippines Manila warehouse. Any items found to be defective, expired, or not conforming to the specifications stated in this Purchase Order shall be returned at the supplier's expense.
- Regulatory Compliance: The supplier warrants that all chemist pharmaceutical ingredients and laboratory reagents are legally imported and distributed in accordance with the Philippine Drug Regulatory Administration (PDRA) and the Department of Trade and Industry (DTI) regulations in the Philippines Manila region.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government-imposed lockdowns in the Philippines Manila area, or other events beyond reasonable control.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes shall be resolved through arbitration in Manila, Philippines Manila, in accordance with the rules of the Philippine Dispute Resolution Center.
All chemist-grade chemicals must be properly labeled with hazard symbols in accordance with the Globally Harmonized System (GHS) as adopted by the Philippines Manila Bureau of Fire Protection. Flammable and corrosive materials (Items 02 and 03) must be transported in sealed, UN-approved containers. The supplier must provide a licensed hazmat driver for all deliveries within the Philippines Manila metro area. The buyer's receiving team at the Manila Chemist warehouse will be available Monday through Friday, 8:00 AM to 5:00 PM, Philippine Standard Time, to receive and verify all shipments against this Purchase Order.
