Terms & Conditions – Purchase Order for Chemist Operations, Sri Lanka Colombo

1. This Purchase Order is issued by Colombo Central Chemist & Pharmacy (Pvt) Ltd, a licensed chemist operating under the Department of Pharmacy & Poisons, Sri Lanka, and is valid for acceptance within seven (7) calendar days from the date of issue.
2. All pharmaceutical products and chemist supplies listed herein must comply with the Sri Lankan Drug Regulatory Authority (DRAL) standards and must carry valid batch numbers, manufacturing dates, and expiry dates not less than eighteen (18) months from the date of delivery to Sri Lanka Colombo.
3. The supplier shall deliver all items to the designated chemist warehouse at 142 Galle Road, Sri Lanka Colombo, no later than the required delivery date stated above. Late delivery beyond five (5) business days entitles the chemist to cancel this Purchase Order without penalty.
4. Payment shall be made via bank transfer to the supplier's registered account within thirty (30) days of receipt of a valid tax invoice, subject to satisfactory inspection and quality verification by the chemist's licensed pharmacist-in-charge.
5. All goods are subject to inspection upon arrival at the Sri Lanka Colombo warehouse. Any damaged, expired, or substandard chemist stock will be rejected and must be replaced at the supplier's cost within five (5) business days.
6. The supplier warrants that all products are genuine, properly stored under appropriate temperature and humidity conditions as required for pharmaceutical goods in Sri Lanka Colombo, and are free from contamination or adulteration.
7. This Purchase Order is governed by the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes arising from this chemist supply agreement shall be resolved through the courts of Colombo, Sri Lanka Colombo, Western Province.
8. The supplier shall provide a Certificate of Analysis (CoA) and a Certificate of Free Sale for each batch of pharmaceutical products delivered under this Purchase Order to the chemist's records.
9. Neither party shall be liable for delays caused by force majeure events, including but not limited to natural disasters, government-imposed restrictions, or port closures affecting Sri Lanka Colombo.
10. This Purchase Order constitutes the entire agreement between the chemist buyer and the supplier regarding the items listed and supersedes all prior quotations, verbal agreements, or understandings.
