1. Scope of Purchase Order: This Purchase Order is issued by Alpine Health & Pharmaceutical Services AG, headquartered in Switzerland Zurich, for the procurement of pharmaceutical products, medical consumables, and pharmacy equipment from Helvetia Chemist & Apothecary GmbH. All items listed herein are intended for use within the Switzerland Zurich metropolitan healthcare network and must comply with the Swiss Federal Act on Therapeutic Products (ThG) and Swissmedic regulations.
2. Chemist Compliance: The Chemist supplier shall ensure that all pharmaceutical products are manufactured under Good Manufacturing Practice (GMP) standards as defined by the Swiss Agency for Therapeutic Products (Swissmedic). Each batch must be accompanied by a Certificate of Analysis (CoA) and a Certificate of Free Sale where applicable. The Chemist must maintain a valid Swiss pharmacy operating license for the duration of this Purchase Order.
3. Delivery: All goods shall be delivered to the receiving warehouse located at Bahnhofstrasse 142, 8001 Switzerland Zurich, no later than 28 June 2025. Delivery shall be made under DAP (Delivered at Place) Incoterms 2020. The Chemist is responsible for all transportation, insurance, and risk of loss until the goods are unloaded at the specified Switzerland Zurich address. Cold-chain items must be transported in validated temperature-controlled containers with continuous data loggers.
4. Payment: Payment shall be made in Swiss Francs (CHF) via bank transfer to the Chemist's designated account within thirty (30) calendar days of the invoice date, provided all goods have been received and inspected without discrepancy. The Purchase Order number PO-2025-ZRH-04782 must be referenced on all invoices and correspondence.
5. Quality Assurance and Inspection: Upon delivery in Switzerland Zurich, the receiving team will inspect all items for quantity, packaging integrity, expiry dates (minimum 18 months remaining), and temperature excursion logs. Any non-conforming goods must be reported to the Chemist within five (5) business days. The Chemist shall replace or credit non-conforming items at no additional cost.
6. Regulatory Compliance – Switzerland Zurich: The Chemist warrants that all products comply with the Swiss Federal Act on Therapeutic Products (SR 812.21), the Swiss Ordinance on Medicinal Products, and all applicable cantonal regulations for the Canton of Zurich. Controlled substances, if any, must be handled in accordance with the Swiss Narcotics Act (BetmG) and the corresponding cantonal directives for Switzerland Zurich.
7. Data Protection: Both parties agree to comply with the Swiss Federal Act on Data Protection (revFADP / DSG) in the processing of any personal data exchanged under this Purchase Order. The Chemist shall not share recipient data with third parties without prior written consent.
8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the courts of Switzerland Zurich, Canton of Zurich. The applicable law is Swiss law. Both parties agree to attempt good-faith mediation before initiating legal proceedings.
9. Validity: This Purchase Order is valid for a period of ninety (90) days from the date of issue. The Chemist may not modify pricing or terms without written amendment signed by both parties.
