Terms and Conditions of this Purchase Order

1. This Purchase Order is issued by Al Noor Chemist & Pharmacy LLC, a licensed chemist and pharmacy operating in Abu Dhabi, United Arab Emirates, and is governed by the laws of the United Arab Emirates, including the Federal Decree-Law No. 5 of 2025 on Commercial Transactions.
2. All pharmaceutical products and chemist supplies listed in this Purchase Order must comply with the regulatory standards set by the Department of Health – Abu Dhabi (DHA) and the Abu Dhabi Municipality. The supplier warrants that all items carry valid DHA registration numbers and are free from contamination or expiry issues.
3. Delivery of all goods shall be made to the chemist premises located in Khalifa City, Abu Dhabi, United Arab Emirates, no later than the Required Delivery Date stated above. Late delivery beyond five (5) business days entitles the buyer to cancel this Purchase Order without penalty.
4. Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days from the date of the supplier's tax invoice. All payments are denominated in United Arab Emirates Dirhams (AED) in accordance with UAE Central Bank regulations.
5. The supplier shall provide a valid Tax Invoice compliant with the Federal Tax Authority (FTA) of the United Arab Emirates, including the supplier's Tax Registration Number (TRN) and the applicable 5% VAT as per UAE VAT Law (Federal Decree-Law No. 8 of 2017).
6. All pharmaceutical items must be stored and transported in accordance with UAE Good Distribution Practice (GDP) guidelines. Temperature-sensitive products, including the refrigerated vaccine storage unit, must be delivered with a calibrated temperature log attached.
7. The chemist buyer reserves the right to inspect all goods upon arrival at the Abu Dhabi delivery point. Any damaged, expired, or non-conforming items shall be rejected and replaced at the supplier's sole cost within seven (7) business days.
8. This Purchase Order does not constitute a long-term supply agreement. Each subsequent order shall require a new Purchase Order issued by Al Noor Chemist & Pharmacy LLC.
9. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Abu Dhabi, United Arab Emirates, or through arbitration under the rules of the Abu Dhabi Global Market (ADGM) Arbitration Centre at the mutual agreement of both parties.
10. The supplier acknowledges that all products supplied under this Purchase Order are intended for retail sale at a licensed chemist and pharmacy in Abu Dhabi and must not be diverted to unlicensed distributors or exported without prior written consent and the necessary UAE export permits.
