1. Purchase Order Reference and Scope
This Purchase Order is issued by Thames Valley Pharmaceutical Distribution Ltd. (hereinafter referred to as the "Buyer") to Green Cross Chemist & Pharmacy Ltd. (hereinafter referred to as the "Chemist Supplier") for the supply of pharmaceutical products, medical consumables, and related dispensing equipment. This Purchase Order governs all terms, conditions, pricing, and delivery obligations between the parties and is issued in accordance with the commercial agreement dated 1 January 2025. All transactions under this Purchase Order shall be conducted in compliance with the Medicines and Healthcare products Regulatory Agency (MHRA) regulations applicable within the United Kingdom London region and the broader United Kingdom.

3. Delivery and Logistics
The Chemist Supplier shall deliver all goods specified in this Purchase Order to the Buyer's designated warehouse at 42 Regent Street, London W1B 5AH, United Kingdom London, no later than 28 June 2025. All pharmaceutical products must be transported in compliance with MHRA cold-chain requirements where applicable. The Chemist Supplier is responsible for all packaging, labelling, and documentation required for the safe transit of medicines within the United Kingdom London metropolitan area. A Goods Delivery Note (GDN) must accompany each consignment, and the Buyer's receiving team will inspect all items within 48 hours of delivery. Any discrepancies, damaged goods, or expired stock must be reported to the Chemist Supplier within five (5) working days of receipt.
4. Payment Terms and Conditions
Payment for this Purchase Order shall be made by BACS transfer to the Chemist Supplier's nominated bank account within thirty (30) calendar days of the date of the invoice, provided that all goods have been received and accepted in satisfactory condition. The Buyer reserves the right to withhold payment in the event of non-conforming goods, incomplete delivery, or failure by the Chemist Supplier to provide valid MHRA compliance documentation. Late payment shall attract interest at the rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. All prices quoted in this Purchase Order are in British Pounds Sterling (GBP) and are inclusive of any applicable United Kingdom London local levies or surcharges.
5. Quality Assurance and Regulatory Compliance
The Chemist Supplier warrants that all pharmaceutical products supplied under this Purchase Order shall be manufactured, stored, and distributed in full compliance with the Human Medicines Regulations 2012, the Good Distribution Practice (GDP) guidelines, and all applicable MHRA standards. The Chemist Supplier must hold a valid GPhC registration and a current Wholesale Distribution Licence (WDL) for the supply of medicines within the United Kingdom London region. The Buyer reserves the right to conduct unannounced quality audits at the Chemist Supplier's premises in London upon reasonable notice. Any breach of regulatory compliance shall constitute a material breach of this Purchase Order and may result in immediate termination without penalty to the Buyer.
6. Cancellation and Amendment
This Purchase Order may be amended or cancelled in writing by either party, provided that such notice is given no fewer than seven (7) working days prior to the required delivery date. Cancellation of items already in production or in transit by the Chemist Supplier may incur a restocking fee of up to 15% of the affected line value. All amendments to this Purchase Order must be confirmed in writing by both parties and shall form an integral part of this document.
7. Governing Law and Jurisdiction
This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of the United Kingdom London. The Chemist Supplier and the Buyer agree to attempt good-faith mediation before initiating any formal legal proceedings.
