Terms & Conditions of this Purchase Order
- This Purchase Order is issued by Manchester Chemist & Pharmaceutical Supplies Ltd., a registered pharmacy and chemist operating in Manchester, United Kingdom, and constitutes a binding offer to purchase the goods and services listed herein from the named supplier.
- All pharmaceutical products supplied under this Purchase Order must comply with the Medicines and Healthcare products Regulatory Agency (MHRA) regulations in force in the United Kingdom. The supplier warrants that all items are manufactured, stored, and transported in accordance with Good Distribution Practice (GDP) as set out by the MHRA.
- Delivery of all goods shall be made to the chemist premises at 142 Deansgate, Manchester, M3 2ER, United Kingdom, no later than 26 June 2025. The supplier shall provide a minimum of 48 hours' written notice prior to delivery to allow the chemist's receiving team to prepare the appropriate storage areas, including temperature-controlled refrigeration for cold-chain items.
- Payment terms for this Purchase Order are Net 30 days from the date of the supplier's invoice, payable by BACS transfer to the supplier's nominated bank account in the United Kingdom. No interest shall accrue on payments made within the agreed terms. Late payment beyond 30 days shall attract interest at the rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- The supplier shall provide a full Certificate of Analysis (CoA) and batch/lot traceability documentation for every pharmaceutical product included in this Purchase Order. The chemist reserves the right to reject any consignment that does not meet the specified quality standards, is past its expiry date, or lacks the required MHRA authorisation.
- Equipment items (Refrigeration Unit, Label Printers, and Dispensing Cabinets) shall be delivered, installed, and commissioned at the chemist's Manchester premises. The supplier shall provide a 24-month warranty on all equipment, covering parts and labour, and shall respond to any fault reported within 48 hours of notification.
- All prices stated in this Purchase Order are in British Pounds Sterling (GBP) and are inclusive of all applicable United Kingdom Value Added Tax (VAT) at the standard rate of 20%, unless otherwise stated. The supplier shall not vary prices after the Purchase Order has been accepted.
- This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Manchester, United Kingdom.
- The supplier acknowledges that the goods purchased under this Purchase Order are intended for use in a registered chemist and pharmacy in Manchester, United Kingdom, and that the supplier holds a valid MHRA Wholesale Distribution Licence (WDL) authorising the supply of medicinal products to registered pharmacies.
- This Purchase Order may only be amended or varied by mutual written agreement signed by authorised representatives of both parties. No oral modification shall be binding.
