- This Purchase Order constitutes a binding agreement between Midwest Analytical Sciences, LLC (Buyer) and Lakefront Chemist & Reagents Co., Inc. (Seller) for the procurement of chemist-grade laboratory materials, equipment, and professional services as itemized above.
- All chemical products supplied under this Purchase Order must meet or exceed the purity specifications established by the licensed Chemist representative of the Seller. Certificates of Analysis (CoA) must accompany every shipment of reagents and solvents.
- Delivery of all tangible goods shall be made to the Buyer's facility located at 2145 N. Clark Street, United States Chicago, IL 60614. The Seller's Chemist logistics team shall coordinate delivery windows in writing no fewer than five (5) business days prior to the scheduled arrival date.
- Professional services rendered by the Seller's Chemist personnel, including on-site consultation, custom formulation, and the annual safety audit, shall be performed in full compliance with all applicable regulations of the State of Illinois, the United States Environmental Protection Agency (EPA), and the Occupational Safety and Health Administration (OSHA).
- Payment for this Purchase Order shall be due within thirty (30) calendar days of the date of invoice. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with the Illinois Prompt Payment Act. Remittances shall be made via ACH transfer to the account designated by the Seller.
- The Seller warrants that all Chemist-formulated products and custom glassware shall be free from defects in materials and workmanship for a period of twelve (12) months from the date of delivery. Any non-conforming items must be reported to the Buyer's procurement office within fifteen (15) days of receipt.
- Intellectual property related to any custom formulation developed under this Purchase Order shall remain the exclusive property of the Buyer. The Seller's Chemist team agrees to execute a non-disclosure agreement (NDA) prior to commencing any custom development work.
- This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois, United States Chicago jurisdiction. Any disputes arising hereunder shall be resolved through binding arbitration in Cook County, United States Chicago, in accordance with the rules of the American Arbitration Association.
- The Seller shall maintain current professional liability insurance with a minimum coverage of $2,000,000 per occurrence, specifically covering the activities of its Chemist personnel while on the Buyer's premises in United States Chicago.
- Neither party may assign this Purchase Order or any obligations hereunder without the prior written consent of the other party. This document, together with any attached exhibits, constitutes the entire agreement between the parties regarding the subject matter herein.
