1. This Purchase Order is issued by Miami Coastal Research Laboratories, Inc., a registered entity operating in United States Miami, Florida, and is binding upon acceptance by the Chemist vendor named above.
2. All chemical reagents and laboratory supplies listed herein must meet or exceed the Chemist-grade specifications indicated in the "Chemist Grade / Spec" column. The vendor shall provide certificates of analysis (CoA) and Material Safety Data Sheets (MSDS/SDS) for every hazardous substance shipped.
3. Delivery shall be made to the buyer's facility located in United States Miami, FL 33132, no later than the Required Delivery Date stated above. Late delivery beyond five (5) business days entitles the buyer to a 2% per diem penalty on the affected line items.
4. Payment shall be remitted within thirty (30) calendar days of the invoice date via ACH transfer to the account designated by the Chemist vendor. No payment shall be due until all goods have been received, inspected, and confirmed to conform to the specifications in this Purchase Order.
5. The Chemist vendor warrants that all products are new, unused, and free from defects in materials and workmanship for a period of twelve (12) months from the date of delivery in United States Miami.
6. All shipments must comply with applicable federal, state, and local regulations governing the transport of chemical substances within the United States, including DOT, OSHA, and Florida Department of Environmental Protection guidelines specific to the Miami metropolitan area.
7. This Purchase Order is subject to the buyer's standard terms of purchase. In the event of any conflict between the terms herein and any vendor's terms, the terms of this Purchase Order shall prevail.
8. Any modifications, cancellations, or amendments to this Purchase Order must be made in writing and signed by an authorized representative of both Miami Coastal Research Laboratories and the Chemist vendor.
9. The Chemist vendor shall maintain adequate liability insurance coverage of no less than $2,000,000 per occurrence for the duration of this Purchase Order and any resulting deliveries in United States Miami.
10. This document constitutes the complete and exclusive agreement between the parties with respect to the procurement of the items described herein and supersedes all prior negotiations, representations, or agreements, whether written or oral.
