- This Purchase Order is issued in accordance with the commercial laws of the State of New York and the United States. All transactions are governed by the Uniform Commercial Code (UCC) as adopted in New York City, United States.
- The Chemist supplier, Hudson Valley Chemist & Reagents Co., warrants that all chemical products listed in this Purchase Order meet or exceed the purity and grade specifications stated herein. Each shipment shall include a Certificate of Analysis signed by the responsible Chemist.
- All hazardous materials and controlled substances included in this Purchase Order shall be transported in compliance with the U.S. Department of Transportation (DOT) regulations, New York State Department of Environmental Conservation (NYSDEC) guidelines, and New York City Department of Health and Mental Hygiene (NYC DOHMH) ordinances.
- The Chemist supplier shall maintain a valid New York State Chemist License (NY-CHM-2019-44821) for the duration of this Purchase Order. Any lapse in licensure shall constitute grounds for immediate termination of this Purchase Order without penalty to the buyer.
- Delivery of all items under this Purchase Order shall be made to the designated facility in New York City, United States, between the hours of 08:00 and 16:00 Eastern Time, Monday through Friday. The Chemist supplier is responsible for all packaging, labeling, and cold-chain integrity during transit within the New York City metropolitan area.
- Payment of $9,175.89 USD shall be remitted via ACH transfer to the Chemist supplier's designated account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with New York State commercial practice.
- The Chemist supplier agrees to a 30-day return policy for unopened, undamaged chemical products. Any product found to be below the specified purity threshold upon receipt shall be replaced at no additional cost to the buyer within five (5) business days.
- All on-site services performed by the Chemist at the New York City facility shall comply with OSHA (Occupational Safety and Health Administration) standards and New York City local labor regulations. The Chemist shall carry a minimum of $2,000,000 in general liability insurance.
- This Purchase Order shall remain in full force and effect until all items have been delivered, inspected, and accepted by the buyer, and all payment obligations have been satisfied in full.
- Any disputes arising from this Purchase Order shall be resolved through binding arbitration in New York City, United States, in accordance with the rules of the American Arbitration Association.
