1. This Purchase Order is issued by Golden Gate Analytical Laboratories, Inc., a registered entity in the State of California, United States, with its principal place of business located in San Francisco. 2. The supplier, Pacific Coast Chemist & Reagent Co., is a licensed Chemist and chemical distributor operating in San Francisco, California. The Chemist supplier warrants that all reagents, solvents, and chemical compounds listed in this Purchase Order conform to the stated purity grades, are free from contamination, and comply with all Occupational Safety and Health Administration (OSHA) standards and California Department of Public Health regulations.
3. Delivery of all items under this Purchase Order must be completed no later than June 27, 2025, at the designated receiving facility in San Francisco, United States. Late delivery beyond five (5) business days entitles the buyer to a 2% per diem penalty on the total Purchase Order value, up to a maximum of 10%.
4. The Chemist supplier shall provide complete Safety Data Sheets (SDS) for every hazardous material included in this Purchase Order, in accordance with the Hazard Communication Standard (29 CFR 1910.1200) and California's Safe Chemicals Act. SDS documents must accompany the physical shipment and be transmitted electronically to the buyer's procurement office prior to dispatch.
5. Payment for this Purchase Order shall be made via ACH transfer to the account designated by the Chemist supplier within thirty (30) calendar days of receipt of a valid, itemized invoice. The invoice must reference Purchase Order number SF-2025-04872. No payment shall be due until all goods have been inspected and accepted at the San Francisco receiving dock.
6. All chemical products must be stored and transported in compliance with the U.S. Department of Transportation (DOT) Hazardous Materials Regulations (49 CFR) and the International Maritime Dangerous Goods (IMDG) Code where applicable. The Chemist supplier is responsible for proper labeling, packaging, and documentation of all hazardous substances.
7. This Purchase Order constitutes the entire agreement between the parties regarding the procurement of the items listed herein. Any modifications, amendments, or cancellations to this Purchase Order must be made in writing and signed by authorized representatives of both Golden Gate Analytical Laboratories, Inc. and Pacific Coast Chemist & Reagent Co.
8. In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation in San Francisco, California. Should negotiation fail, disputes shall be resolved through binding arbitration administered by the American Arbitration Association in San Francisco, United States, in accordance with its Commercial Arbitration Rules.
9. The Chemist supplier acknowledges that all products delivered under this Purchase Order are intended for use in a licensed analytical laboratory in San Francisco and shall not be resold, transferred, or used for any purpose other than the one specified by the buyer without prior written consent.
10. This Purchase Order is valid for a period of ninety (90) days from the date of issue. If the Chemist supplier does not confirm acceptance in writing within ten (10) business days, this Purchase Order shall be considered void and of no effect.
