- This Purchase Order is issued by MediChem Harare (Pvt) Ltd, a registered entity in Zimbabwe, and constitutes a binding request for the Chemist supplier to supply the listed pharmaceutical and medical products as specified herein.
- The Chemist supplier, PharmaLink Chemist & Dispensary (Pvt) Ltd, located in Harare, Zimbabwe, shall confirm acceptance of this Purchase Order in writing within five (5) business days of the date of issue. Failure to confirm within this period shall render this Purchase Order null and void.
- Delivery of all goods shall be made to the MediChem Harare warehouse at 142 Samora Machel Avenue, Harare, Zimbabwe, no later than 28 June 2025. The Chemist supplier is responsible for all transportation costs within the Harare metropolitan area as indicated in the delivery and handling charge.
- Payment shall be made within thirty (30) calendar days from the date of confirmed delivery and acceptance of goods. Payment shall be processed via electronic funds transfer (EFT) to the Chemist supplier's designated bank account in Zimbabwe. The buyer reserves the right to settle in either United States Dollars (USD) or Zimbabwe Dollars (ZWL) at the prevailing Reserve Bank of Zimbabwe (RBZ) exchange rate on the date of payment.
- All products supplied under this Purchase Order must be in their original, unopened packaging with a minimum of twelve (12) months remaining on the expiry date at the time of delivery in Harare. Any product found to be expired, damaged, or substandard upon inspection shall be rejected at no cost to the buyer, and the Chemist supplier shall replace such items within seven (7) business days.
- The Chemist supplier warrants that all pharmaceutical products supplied are manufactured in compliance with the Good Manufacturing Practice (GMP) standards recognised by the Zimbabwe National Drug Reference List and the Pharmacy and Poisons Board of Zimbabwe.
- This Purchase Order is governed by the laws of the Republic of Zimbabwe. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Harare, Zimbabwe.
- The Chemist supplier shall maintain adequate product liability insurance coverage in Zimbabwe for the duration of this Purchase Order and any subsequent deliveries.
- Neither party shall be liable for delays or non-performance caused by acts of God, government sanctions, currency restrictions imposed by the Reserve Bank of Zimbabwe, or other force majeure events beyond reasonable control.
- This Purchase Order may only be amended or modified by mutual written agreement signed by authorised representatives of both MediChem Harare (Pvt) Ltd and the Chemist supplier.
