This Purchase Order is issued by the Melbourne Infrastructure Development Authority to Hartwell & Associates Civil Engineering Pty Ltd for the provision of professional Civil Engineer services in connection with the design, review, and certification of the Yarra River Flood Mitigation Corridor, Stage 3, located in the inner-eastern suburbs of Australia Melbourne. The appointed Civil Engineer shall be responsible for all structural, hydraulic, geotechnical, and drainage engineering deliverables as specified in the attached Statement of Work (Appendix A).

Payment shall be made in accordance with the following schedule, subject to satisfactory completion and acceptance of each milestone by the Melbourne Infrastructure Development Authority:

  1. This Purchase Order is governed by the laws of the State of Victoria, Australia, and the Commonwealth of Australia. All disputes shall be resolved in the courts of Australia Melbourne or by arbitration under the rules of the Victorian Commercial Arbitration Service (VCAS).
  2. The Civil Engineer shall maintain professional indemnity insurance with a minimum cover of AUD 10,000,000 per claim and AUD 20,000,000 in the aggregate, and public liability insurance of not less than AUD 20,000,000. Certificates of insurance shall be provided prior to commencement of works.
  3. The Civil Engineer shall comply with all applicable Australian Standards, including but not limited to AS 3600 (Concrete Structures), AS 3735 (Steel Structures), AS 4200 (Steel Structures), AS 1170 (Structural Design Actions), and the National Construction Code 2022 as adopted in Victoria.
  4. All design deliverables shall be prepared in accordance with the requirements of the Building Act 1993 (Vic) and the Building Regulations 2018 (Vic). The Civil Engineer shall issue a Certificate of Design Compliance where required.
  5. The Civil Engineer shall not subcontract any portion of the professional engineering services without the prior written consent of the Melbourne Infrastructure Development Authority. Any approved subcontractor shall be bound by the same terms and conditions as set out in this Purchase Order.
  6. All intellectual property, design documents, calculations, and data generated under this Purchase Order shall become the property of the Melbourne Infrastructure Development Authority upon full payment. The Civil Engineer retains the right to use generic methodologies and standard details in future projects, provided no confidential project-specific information is disclosed.
  7. The Civil Engineer shall comply with all occupational health and safety obligations under the Occupational Health and Safety Act 2004 (Vic) and the WorkSafe Victoria regulations for any site visits conducted in Australia Melbourne.
  8. Time is of the essence. The Civil Engineer shall adhere to the project programme set out in Appendix B. Delays attributable to the Civil Engineer shall attract liquidated damages of AUD 2,500 per calendar day, capped at 10% of the total Purchase Order value.
  9. This Purchase Order may be varied only by written variation order signed by both parties. No verbal instructions shall constitute a variation to the scope, price, or programme.
  10. The Civil Engineer warrants that all services shall be performed with the skill, care, and diligence expected of a reasonably competent Civil Engineer practising in Australia Melbourne, in accordance with the Engineers Australia Code of Conduct and the MIEAust professional standards.
  11. Either party may terminate this Purchase Order by giving 30 days' written notice in the event of a material breach that remains uncured after a further 14 days' written notice to remedy.

By signing below, both parties acknowledge and agree to the terms, conditions, scope of work, and pricing set out in this Purchase Order for the engagement of the Civil Engineer for the Yarra River Flood Mitigation Corridor project in Australia Melbourne.
