This Purchase Order is issued by the Brussels Metropolitan Infrastructure Authority (hereinafter referred to as the "Authority") to procure the professional services of a qualified Civil Engineer and associated engineering team for the structural rehabilitation of the Brussels Canal Corridor. The Civil Engineer engaged under this Purchase Order shall be a registered member of the Ordre des Ingénieurs-Conseils (Belgian Council of Consulting Engineers) and shall hold a minimum of fifteen (15) years of demonstrated experience in structural assessment, hydraulic engineering, and urban infrastructure rehabilitation within the Brussels-Capital Region.

The Civil Engineer shall be responsible for the complete technical oversight of the project, including but not limited to: structural integrity surveys of existing canal retaining walls and bridge piers; the preparation of detailed engineering drawings and specifications compliant with Eurocode standards (EN 1990 through EN 1999) as transposed into Belgian national regulations; the design of remedial reinforcement works; the supervision of on-site construction activities; and the issuance of final as-built documentation for the Authority's permanent records.

3.1 Qualification of the Civil Engineer. The lead Civil Engineer assigned to this Purchase Order shall present valid proof of registration with the Belgian Council of Consulting Engineers and a professional liability insurance certificate with a minimum coverage of EUR 2,000,000 per occurrence, issued by an insurer licensed to operate in Belgium. The Authority reserves the right to request a replacement of the Civil Engineer should performance fall below the standards defined in the project specification annex.

3.2 Compliance with Belgian and Brussels Regulations. All engineering deliverables produced under this Purchase Order shall comply with the Belgian Building Code, the Brussels-Capital Region spatial planning regulations, and applicable European directives. The Civil Engineer shall ensure that all structural designs meet the seismic and hydraulic loading requirements specific to the Brussels metropolitan area as defined by the Royal Decree of 12 January 2018 on structural safety.

3.3 Intellectual Property. All drawings, calculations, reports, and digital models produced by the Civil Engineer in the execution of this Purchase Order shall become the exclusive property of the Brussels Metropolitan Infrastructure Authority upon full payment. The Civil Engineer shall grant the Authority an irrevocable, royalty-free licence to reproduce, modify, and distribute such documentation for the purpose of future maintenance and expansion of the Brussels Canal infrastructure.

3.4 Health, Safety, and Environmental Obligations. The Civil Engineer shall enforce full compliance with the Belgian Code on Well-being at Work (Code du bien-être au travail) and all site-specific safety plans. Particular attention shall be given to the environmental sensitivities of the Brussels Canal corridor, including the protection of aquatic habitats designated under the Brussels Nature and Landscape Protection Ordinance.

3.5 Liquidated Damages. In the event that the Civil Engineer fails to deliver any milestone within the approved project schedule without a valid force majeure justification, a penalty of 0.1% of the total Purchase Order value per calendar day of delay shall be applied, up to a maximum of 10% of the total contract value.

3.6 Dispute Resolution. Any dispute arising from or in connection with this Purchase Order shall first be subject to good-faith negotiation between the parties. Failing resolution within thirty (30) days, the dispute shall be referred to the Commercial Court of Brussels, Belgium, in accordance with the Belgian Code of Civil Procedure.

This Purchase Order constitutes a binding procurement instrument issued in accordance with the Brussels-Capital Region public procurement framework and the Belgian Code of the Economy. By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this document.
