This Purchase Order is issued by Toronto Infrastructure Development Corporation to Northgate Civil Engineering & Geotechnical Group Inc. for the provision of comprehensive Civil Engineer professional services in connection with the design, engineering analysis, and technical oversight of the Toronto East Bayfront Mixed-Use Development Project, located at 1200 Lake Shore Boulevard East, Toronto, Ontario, Canada. The Civil Engineer shall be responsible for all structural, geotechnical, hydrological, and transportation engineering deliverables required to obtain municipal permits from the City of Toronto and to ensure full compliance with the Ontario Building Code, the Municipal Act, 2001 (S.O. 2001, c. 25), and all applicable federal and provincial regulations within the Province of Ontario.

  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be resolved through arbitration in Toronto, Ontario, in accordance with the Arbitration Act, 1991 (S.O. 1991, c. 17).
  2. Licensing and Professional Standards: The Civil Engineer and all associated professional engineers engaged under this Purchase Order must hold valid, active licenses issued by the Professional Engineers Ontario (PEO) body. The lead Civil Engineer, Mr. David Okafor, P.Eng., shall remain the accountable professional of record for all engineering deliverables. Any substitution of the lead Civil Engineer requires prior written approval from TIDC.
  3. Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice. Invoices must reference this Purchase Order number (TOR-CE-2025-04872) and include the vendor's Ontario Business Number (BN) and HST registration number. All payments shall be processed in Canadian Dollars (CAD) via electronic funds transfer (EFT) to the vendor's designated account in a Canadian financial institution.
  4. Insurance Requirements: The vendor shall maintain, at its own expense, professional liability insurance with a minimum coverage of $5,000,000 per occurrence and $10,000,000 aggregate, as well as commercial general liability insurance of $2,000,000, all issued by an insurer authorized to operate in the Province of Ontario. TIDC shall be named as an additional insured.
  5. Compliance with Toronto Municipal Regulations: All Civil Engineering designs and deliverables must comply with the City of Toronto's Planning and Development guidelines, the Toronto and Region Conservation Authority (TRCA) regulations, the City of Toronto's Green Roof and Stormwater requirements, and the Ontario Building Code as amended. The Civil Engineer shall coordinate all submissions with the City of Toronto's Building, Planning and Development Division.
  6. Confidentiality and Data Protection: All project data, site plans, geotechnical reports, and engineering calculations shall be treated as confidential. The vendor shall comply with the Personal Information Protection and Electronic Documents Act (PIPEDA) and the Ontario Freedom of Information and Protection of Privacy Act (FIPPA) in handling any personal information encountered during the course of this engagement.
  7. Indigenous Consultation and Cultural Heritage: The Civil Engineer shall incorporate findings from any applicable Indigenous heritage assessments and cultural heritage impact studies for the Toronto East Bayfront site, in accordance with the Ontario Heritage Act and the City of Toronto's cultural heritage policies.
  8. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the vendor shall be compensated for all Civil Engineering services rendered up to the termination date, less any applicable deductions for incomplete deliverables.
  9. Warranty: The vendor warrants that all Civil Engineering designs, calculations, and reports shall be free from defects in design for a period of two (2) years from the date of final acceptance by TIDC and the City of Toronto.
  10. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to severe weather events common to the Toronto region, acts of government, or pandemics, provided that written notice is given within five (5) business days.

By signing below, both parties acknowledge and agree to the terms, conditions, scope of work, and pricing set forth in this Purchase Order for the Civil Engineering services to be performed in Toronto, Ontario, Canada. This Purchase Order constitutes a binding agreement between the parties upon execution by both authorized representatives.
