This Purchase Order is issued by Beijing Municipal Infrastructure Development Corporation (hereinafter referred to as the "Buyer") to Beijing Huayu Civil Engineering Consultancy Co., Ltd. (hereinafter referred to as the "Supplier") for the engagement of qualified Civil Engineer professionals to provide comprehensive design, structural analysis, site supervision, and technical consultancy services for the Phase II expansion of the China Beijing urban rail transit network. The Civil Engineer services procured under this Purchase Order shall be performed exclusively within the administrative boundaries of China Beijing, in strict compliance with all national standards of the People's Republic of China, including but not limited to GB 50010 (Code for Design of Concrete Structures), GB 50011 (Code for Seismic Design of Buildings), and the local regulations of the China Beijing Municipal Commission of Housing and Urban-Rural Development.

The Civil Engineer team engaged under this Purchase Order shall be responsible for the structural design of three (3) new underground stations, two (2) elevated viaduct sections, and associated civil works including retaining walls, drainage systems, and foundation engineering. All deliverables must be submitted to the Buyer's project office located in China Beijing no later than the dates specified in the project schedule attached as Appendix A to this Purchase Order.

Payment under this Purchase Order shall be made in Renminbi (CNY) via bank transfer to the Supplier's designated account in China Beijing. The payment schedule is as follows:

  • Advance Payment (30%): CNY 6,020,640.00 – Payable within fifteen (15) business days of the Supplier's written acceptance of this Purchase Order and submission of a performance bond equivalent to 10% of the total contract value.
  • Progress Payment (50%): CNY 10,034,400.00 – Payable in three (3) equal monthly installments upon the Buyer's written approval of milestone deliverables, subject to verification by the Buyer's independent Civil Engineer reviewer.
  • Final Payment (20%): CNY 4,013,760.00 – Payable within thirty (30) calendar days after the successful completion of all Civil Engineer deliverables, submission of the final as-built documentation, and issuance of the China Beijing Municipal Commission's acceptance certificate.
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the People's Republic of China and all applicable regulations of China Beijing. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Beijing Arbitration Commission in China Beijing.
  2. Professional Qualifications: The Supplier warrants that all Civil Engineer personnel assigned to this project hold valid professional registration certificates issued by the China Ministry of Housing and Urban-Rural Development. The lead Civil Engineer shall possess a minimum of ten (10) years of experience in large-scale infrastructure projects in China Beijing.
  3. Compliance: All Civil Engineer designs and deliverables shall comply with the latest editions of national standards (GB) and China Beijing local codes. The Supplier shall bear full responsibility for any non-compliance identified during regulatory review.
  4. Intellectual Property: All drawings, calculations, reports, and technical documentation produced under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Supplier shall not reuse, reproduce, or disclose any project-specific Civil Engineer work without prior written consent.
  5. Confidentiality: Both parties agree to maintain strict confidentiality regarding all project data, site conditions, and proprietary information related to this China Beijing infrastructure project for a period of five (5) years following project completion.
  6. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated work stoppages in China Beijing, or public health emergencies, provided that the affected party notifies the other within forty-eight (48) hours.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall be compensated for all Civil Engineer services rendered up to the termination date, less any damages caused by the Supplier's breach.
  8. Insurance: The Supplier shall maintain professional indemnity insurance with a minimum coverage of CNY 20,000,000.00 and workers' compensation insurance for all Civil Engineer staff operating in China Beijing throughout the project duration.

The Civil Engineer services shall commence on 1 July 2025, subject to the Buyer's issuance of a formal Notice to Proceed. The project is scheduled for completion by 31 December 2026. All site work shall be conducted at the designated project locations within China Beijing as specified in the site access permits issued by the China Beijing Municipal Government. The Supplier shall coordinate all Civil Engineer field activities with the Buyer's site management team and the China Beijing Traffic Management Bureau to minimize disruption to public infrastructure.

This Purchase Order constitutes a binding procurement commitment upon signature by both parties. The Buyer authorizes the Supplier to mobilize the Civil Engineer team and commence preliminary design work immediately upon execution of this document. All amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties.
