This Purchase Order is issued by Guangzhou Municipal Infrastructure Development Corporation (hereinafter referred to as the "Buyer") to procure the professional services of a qualified Civil Engineer and associated engineering consultancy team for the design, review, and structural assessment of the Guangzhou Metro Line 18 Extension Phase II project. All services under this Purchase Order shall be performed within the jurisdiction of China Guangzhou, specifically within the Tianhe, Baiyun, and Panyu districts, in full compliance with the national standards of the People's Republic of China (GB codes) and the local regulations of Guangdong Province.
The Civil Engineer engaged under this Purchase Order shall hold a valid Class-1 Registered Civil Engineer (Ji Gong Chengshi) license issued by the Ministry of Housing and Urban-Rural Development of the People's Republic of China, and shall possess a minimum of fifteen (15) years of documented experience in large-scale urban infrastructure projects within China Guangzhou or equivalent metropolitan regions.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the People's Republic of China and applicable regulations of Guangdong Province. Any disputes arising from this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC), Guangzhou Sub-Commission.
- Payment Terms: Payment shall be made in CNY via bank transfer to the Supplier's designated account. Invoices shall be submitted monthly. The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice. A 5% retention shall be withheld from each monthly payment and released upon final project acceptance.
- Performance Bond: The Supplier shall provide a performance bond equivalent to 10% of the total Purchase Order value (CNY 372,700) within ten (10) business days of the effective date of this Purchase Order.
- Compliance with Local Standards: All Civil Engineer deliverables must conform to the national building codes of China (GB series), the Guangdong Provincial Construction Quality Standards, and the specific urban planning directives issued by the Guangzhou Municipal Government for the China Guangzhou metropolitan area.
- Intellectual Property: All drawings, reports, calculations, and design documents produced under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Civil Engineer and the Supplier retain no right to reuse such materials for other projects without written consent.
- Insurance: The Supplier shall maintain professional indemnity insurance with a minimum coverage of CNY 10,000,000 and public liability insurance of CNY 5,000,000 for the entire duration of the Purchase Order.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination for convenience, the Buyer shall compensate the Supplier for all work completed and documented up to the termination date.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the China Guangzhou region, government-mandated work stoppages, or epidemics, provided that written notice is given within five (5) business days.
- Confidentiality: All project data, site surveys, and engineering information exchanged under this Purchase Order shall be treated as strictly confidential and shall not be disclosed to third parties without prior written authorization from the Buyer.
- Amendments: Any modification to the scope, timeline, or value of this Purchase Order must be documented in a written amendment signed by authorized representatives of both parties.
All Civil Engineer deliverables, including but not limited to structural drawings, geotechnical reports, drainage design packages, and compliance audit findings, shall be submitted to the Buyer's project office at the GMCIDC headquarters in Tianhe District, Guangzhou, in both hard copy (three sets) and electronic format (PDF and editable CAD/BIM files). Acceptance of deliverables shall be confirmed in writing by the Buyer's designated project director within fifteen (15) business days of submission. Failure to respond within this period shall constitute deemed acceptance.
