1. Description of Purchase — Civil Engineer Services in China Shanghai

This Purchase Order is issued by Shanghai International Construction & Infrastructure Development Co., Ltd. (hereinafter referred to as the "Buyer") to Shanghai Civil Engineering & Structural Design Bureau Co., Ltd. (hereinafter referred to as the "Vendor") for the engagement of qualified Civil Engineer professional services in connection with the Lujiazui Phase III Mixed-Use Development Project located in the Pudong New Area of China Shanghai. The scope of work encompasses structural design, geotechnical assessment, hydraulic engineering, and construction supervision as performed by licensed Civil Engineer professionals registered with the Ministry of Housing and Urban-Rural Development of the People's Republic of China.

3. Terms and Conditions
  1. Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the People's Republic of China and all applicable regulations of China Shanghai. Any disputes arising from this Purchase Order shall be submitted to the Shanghai International Arbitration Center for resolution.
  2. Qualification Requirements: All Civil Engineer personnel assigned to this project must hold valid Class-A or Class-B professional registration certificates issued by the Ministry of Housing and Urban-Rural Development. The lead Civil Engineer must possess a minimum of fifteen (15) years of experience in high-rise structural engineering within China Shanghai or equivalent metropolitan environments.
  3. Commencement & Delivery: The Civil Engineer services shall commence no later than 1 August 2025. All design deliverables must be submitted to the Buyer's project management office in Lujiazui, China Shanghai, within the timelines specified in the attached Project Schedule (Annex A).
  4. Payment Schedule: Payment shall be made in four (4) milestones: 25% upon contract execution, 30% upon completion of structural design, 30% upon completion of construction supervision, and 15% upon final handover certification. All payments shall be made via bank transfer to the Vendor's designated account in China Shanghai.
  5. Compliance with China Shanghai Regulations: The Vendor and all assigned Civil Engineer staff shall comply with all local building codes, environmental protection regulations, and safety standards enforced by the China Shanghai Municipal Government, including but not limited to the Shanghai Urban Planning Management Regulations and the Construction Project Quality Management Measures.
  6. Intellectual Property: All design documents, calculations, and engineering drawings produced by the Civil Engineer team under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Vendor shall not reuse, reproduce, or disclose such materials without written consent.
  7. Insurance & Liability: The Vendor shall maintain professional indemnity insurance with a minimum coverage of 10,000,000 CNY for the duration of the Civil Engineer engagement. The Vendor shall be liable for any structural defects or design errors discovered within a period of ten (10) years from the date of final handover, in accordance with Chinese construction law.
  8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in China Shanghai, or epidemics, provided that the affected party notifies the other within five (5) business days.
  9. Confidentiality: Both parties agree to maintain strict confidentiality regarding all project details, site conditions, and proprietary information exchanged in connection with this Purchase Order for a period of five (5) years following project completion.
  10. Amendments: Any modification to this Purchase Order, including changes to the scope of Civil Engineer services or adjustments to the project timeline in China Shanghai, must be documented in a written amendment signed by authorized representatives of both parties.
4. Acceptance & Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of Civil Engineer professional services in China Shanghai. This document constitutes a binding agreement upon execution by both authorized signatories.
