The Civil Engineer engaged under this Purchase Order shall be a licensed professional registered with the Ordre des Ingénieurs du Congo (OIC) and shall possess a minimum of ten (10) years of experience in structural and geotechnical engineering within the DR Congo Kinshasa region. The Civil Engineer shall be responsible for all technical deliverables, site inspections, quality assurance, and coordination with local municipal authorities in Kinshasa.

Payment for the services outlined in this Purchase Order shall be made in United States Dollars (USD) via bank transfer to the account of Kinshasa Civil Engineering Consultants SARL, held at Banque Africaine de Développement, Kinshasa, DR Congo. The payment schedule is as follows:
- 30% Advance Payment (USD 37,380.00): Due within ten (10) business days of the signed acceptance of this Purchase Order.
- 40% Progress Payment (USD 49,840.00): Due upon completion and approval of all structural design deliverables and geotechnical reports.
- 20% Milestone Payment (USD 24,920.00): Due upon completion of the 14-month site supervision period.
- 10% Final Payment (USD 12,460.00): Due upon submission and acceptance of the final as-built documentation and handover certification.
- This Purchase Order is governed by the laws of the Democratic Republic of the Congo, specifically the Congolese Commercial Code and applicable construction regulations in force in DR Congo Kinshasa.
- The Civil Engineer engaged under this Purchase Order shall comply with all safety standards, environmental regulations, and municipal building codes applicable in Kinshasa, DR Congo. Any non-compliance shall be at the sole expense of the service provider.
- The Civil Engineer shall submit weekly progress reports to the Buyer's project management office in Kinshasa and shall attend bi-weekly coordination meetings with the Kinshasa Municipal Works Department.
- All engineering drawings, calculations, and technical documentation produced under this Purchase Order shall become the exclusive property of the Buyer upon full payment.
- The service provider shall maintain professional liability insurance with a minimum coverage of USD 500,000 for the duration of the engagement, valid in DR Congo Kinshasa.
- Any disputes arising from this Purchase Order shall first be subject to mediation in Kinshasa, DR Congo. If mediation fails within thirty (30) days, the matter shall be referred to the competent commercial court in Kinshasa.
- This Purchase Order may not be assigned or subcontracted without the prior written consent of the Buyer. The named Civil Engineer (Ing. Marie-Claire Kalala) shall remain the primary point of technical contact throughout the project duration.
- Force majeure events, including but not limited to civil unrest, natural disasters, or government-imposed restrictions in DR Congo Kinshasa, shall suspend obligations under this Purchase Order for the duration of the event, with written notice provided within five (5) business days.
- All invoices must reference this Purchase Order number (PO-CDK-2025-0047) and shall be submitted in English or French, the two official working languages of the DR Congo Kinshasa administrative framework.
