1. Description of Purchase Order Scope

This Purchase Order is issued by the Addis Ababa Urban Development & Infrastructure Authority to formally engage the services of a qualified Civil Engineer and associated technical consultancy team for the design, supervision, and quality assurance of the Bole–Kazanchis Corridor Road Rehabilitation Project located in Ethiopia Addis Ababa. The Civil Engineer engaged under this Purchase Order shall be responsible for structural analysis, geotechnical assessment, hydraulic design of drainage systems, and overall project supervision in full compliance with the Ethiopian Roads Authority (ERA) standards and the Addis Ababa City Administration building and infrastructure codes.

3. Terms and Conditions of this Purchase Order

Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia, specifically the Ethiopian Civil Code (2011) and the Public Procurement and Property Administration Proclamation No. 1160/2019 as applicable to procurement in Ethiopia Addis Ababa.
Qualification of Civil Engineer: The Lead Civil Engineer assigned to this Purchase Order must hold a minimum of a Bachelor's degree in Civil Engineering from a recognized Ethiopian or internationally accredited university, possess a valid professional license issued by the Ethiopian Engineers Association (EEA), and demonstrate a minimum of ten (10) years of progressive experience in road and infrastructure projects within Ethiopia Addis Ababa or comparable urban environments.
Delivery / Commencement: All Civil Engineer services shall commence within fourteen (14) calendar days of the formal acceptance of this Purchase Order. The project site is located along the Bole–Kazanchis corridor, Addis Ababa, Ethiopia.
Payment Terms: Payment shall be made in four (4) equal installments of ETB 3,120,812.50 each, due at 25% project milestones. Payment shall be processed via bank transfer to the supplier's designated account at Commercial Bank of Ethiopia, Addis Ababa branch, within thirty (30) days of invoice submission and milestone verification.
Performance Security: The supplier shall furnish a Performance Bank Guarantee equivalent to 10% of the total Purchase Order value (ETB 1,248,325) from a licensed Ethiopian financial institution, valid for the duration of the contract plus sixty (60) days.
Compliance: All Civil Engineer deliverables must comply with ERA Design Standards, Addis Ababa City Administration Zoning and Building Regulations, and Ethiopian Environmental Impact Assessment (EIA) requirements as mandated by the Ministry of Environment, Forest and Change.
Insurance: The Civil Engineer and all sub-consultants must maintain comprehensive professional liability insurance and workers' compensation coverage as required under Ethiopian labor law for the entire project duration in Ethiopia Addis Ababa.
Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to mediation. If unresolved within thirty (30) days, the matter shall be referred to the Arbitration and Conciliation Office of Addis Ababa, Ethiopia, in accordance with the Ethiopian Arbitration and Conciliation Proclamation No. 1243/2021.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or civil unrest in Ethiopia Addis Ababa, provided written notice is given within seven (7) days of the event.
Confidentiality: All technical drawings, geotechnical data, and project documentation produced under this Purchase Order by the Civil Engineer shall remain the exclusive property of the Addis Ababa Urban Development & Infrastructure Authority and shall not be disclosed to third parties without written consent.

4. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of Civil Engineer services in Ethiopia Addis Ababa. This document constitutes a binding procurement instrument under Ethiopian public procurement regulations.
