This Purchase Order is issued to formally request and authorize the provision of specialized Civil Engineer services for the structural design, geotechnical assessment, and construction supervision of the new mixed-use development project located in the 8th arrondissement of France Paris. The Civil Engineer and their team shall be responsible for all structural calculations, material specifications, site inspections, and compliance verification in accordance with the French Building Code (Code de la Construction et de l'Habitation) and applicable European Union directives.

4. TERMS AND CONDITIONS- Scope of Work: The Civil Engineer shall perform all services described in Section 3 in full compliance with French national standards, Eurocodes, and the specific urban planning regulations (Plan Local d'Urbanisme) applicable to France Paris. Any deviation from the approved design shall require prior written authorization from the Buyer.
- Payment Terms: Payment shall be made within 30 days of receipt of a valid invoice. A 15% advance payment shall be due upon signature of this Purchase Order. Subsequent payments shall be issued monthly based on certified progress reports submitted by the Civil Engineer. The final 10% retention shall be released upon satisfactory completion and handover of all deliverables.
- Delivery and Service Location: All on-site services shall be performed at the project location in France Paris (75008). All documentation and reports shall be delivered electronically and in three (3) hard copies to the Buyer's office at 42 Avenue des Champs-Élysées, France Paris.
- Professional Liability: The Civil Engineer shall maintain professional indemnity insurance (assurance responsabilité civile professionnelle) with a minimum coverage of € 5,000,000 per claim and € 10,000,000 in the aggregate, as well as the mandatory 10-year structural warranty (garantie décennale) insurance in accordance with Articles L241-1 to L241-10 of the French Insurance Code.
- Intellectual Property: All drawings, calculations, reports, and technical documents produced under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Civil Engineer retains the right to use generic methodologies and standard design practices.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all project details, site data, and commercial terms. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination, plus any non-cancellable commitments made by the Civil Engineer.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of France. Any dispute arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Paris, France Paris.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting France Paris.
- Compliance: The Civil Engineer warrants that all services shall be performed in accordance with applicable French and EU legislation, including but not limited to the Code de la Construction et de l'Habitation, the Code de l'Urbanisme, and the relevant provisions of the Code du Travail regarding on-site safety (Code du travail, Livre IV).
