Scope of Work — Civil Engineer ServicesThis Purchase Order is issued by Bavaria Infrastructure Development GmbH to engage the services of a qualified Civil Engineer and associated engineering team for the design, structural analysis, and construction supervision of the Isar River Flood Protection Retrofit Project, located in the district of Munich, Germany. The Civil Engineer shall operate in full compliance with the German Building Code (Bauordnung), the DIN standards applicable to structural engineering, and all municipal regulations governing construction activities within the city of Munich. The project site is situated along the northern bank of the Isar River in the Munich district of Schwabing, and all deliverables must adhere to the environmental and heritage preservation guidelines enforced by the Landeshauptstadt Munich.

- Payment shall be made via SEPA bank transfer to the supplier's account in Germany Munich within 30 calendar days of receipt of a valid invoice.
- 30% advance payment upon acceptance of this Purchase Order and commencement of the Civil Engineer's design phase.
- 40% milestone payment upon completion and approval of all structural design deliverables by the Bauamt Munich.
- 30% final payment upon successful handover of as-built documentation and final certification in Germany Munich.
- All payments are denominated in Euro (EUR). Late payments shall accrue interest at the statutory rate under Section 288 of the German Civil Code (BGB).
- This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Munich, Germany.
- The Civil Engineer and all sub-consultants engaged by the supplier must hold valid professional registration (Verein der Ingenieure) and carry professional liability insurance of no less than 2,000,000 EUR, as required for engineering practice in Germany Munich.
- All work products, drawings, calculations, and reports produced under this Purchase Order shall become the exclusive property of Bavaria Infrastructure Development GmbH upon full payment.
- The Civil Engineer shall comply with all applicable German data protection regulations (DSGVO / GDPR) when handling any personal data encountered during the project in Munich, Germany.
- Force majeure events, including but not limited to extreme weather events affecting the Isar River basin in Germany Munich, shall be addressed in accordance with Section 313 BGB.
- The supplier warrants that the Civil Engineer assigned to this project holds a minimum of 12 years of post-qualification experience in structural and hydraulic engineering and is registered with the Bayerische Ingenieurkammer.
- Any amendments to this Purchase Order must be made in writing and signed by both parties. Verbal modifications are not binding.
- The supplier shall maintain a valid Betriebshaftpflichtversicherung (commercial general liability insurance) throughout the duration of the engagement in Germany Munich.
