3. Scope of Purchase Order – Civil Engineer Services in Iraq Baghdad

This Purchase Order is issued by the Al-Rafidain Infrastructure Development Authority, headquartered in Baghdad, Iraq, to procure the professional services of a licensed Civil Engineer for the design, supervision, and structural assessment of municipal infrastructure projects within the Baghdad metropolitan area. The Civil Engineer engaged under this Purchase Order shall be fully licensed by the Iraqi Ministry of Construction and Housing and shall comply with all national building codes, Iraqi Civil Engineering Standards (ICES), and municipal regulations applicable in Baghdad, Iraq.

5. Terms and Conditions of This Purchase Order
  1. Applicability of Iraqi Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Iraq, including the Iraqi Civil Code, the Iraqi Public Procurement Law No. 22 of 2013, and all regulations issued by the Ministry of Construction and Housing applicable to Civil Engineer practice in Baghdad, Iraq.
  2. Qualification of Civil Engineer: The Civil Engineer designated to execute the services under this Purchase Order must hold a valid Iraqi engineering license (Category A – Civil Engineering), a minimum of ten (10) years of professional experience in infrastructure projects in Iraq, and must be registered with the Iraqi Engineers Syndicate in Baghdad. A copy of the license and registration certificate must be submitted prior to commencement of work.
  3. Project Location: All services described in this Purchase Order shall be performed exclusively within the administrative boundaries of Baghdad, Iraq, unless otherwise approved in writing by the Purchasing Party. The Civil Engineer shall be familiar with local soil conditions, climate data, and municipal zoning regulations specific to Baghdad, Iraq.
  4. Payment Schedule: Payment shall be made in three (3) installments: 30% upon approval of the initial design package by the Civil Engineer and submission to the Authority; 40% upon completion of 75% of the construction supervision phase; and 30% upon final acceptance and handover of all deliverables. All payments shall be processed through the Central Bank of Iraq in Iraqi Dinar or US Dollars as specified in the Purchase Order.
  5. Deliverables and Documentation: The Civil Engineer shall submit all engineering drawings, calculation reports, supervision logs, and compliance certificates in both Arabic and English. All documents shall bear the Civil Engineer's official stamp and signature as required by Iraqi regulatory authorities in Baghdad.
  6. Insurance and Liability: The Civil Engineer and the BCECF firm shall maintain professional indemnity insurance with a minimum coverage of USD 1,000,000, valid throughout the duration of this Purchase Order. The insurance policy must be issued by an insurer licensed to operate in Iraq, Baghdad.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Civil Engineer shall be compensated for all services rendered up to the date of termination, subject to verification by the Purchasing Party's technical committee in Baghdad, Iraq.
  8. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to amicable negotiation. If unresolved within thirty (30) days, the matter shall be referred to the Baghdad Commercial Court, Republic of Iraq, as the exclusive jurisdiction for adjudication.
  9. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to acts of war, civil unrest in Iraq, government sanctions, or natural disasters affecting Baghdad, Iraq. The affected party must notify the other within seven (7) days of the occurrence.
6. Authorization and Acceptance

By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of Civil Engineer professional services in Baghdad, Iraq. The undersigned represent that they have the legal authority to commit their respective organizations to the terms set forth in this document.
