This Purchase Order is issued by SIBTP to engage the services of the above-named Civil Engineer for the design, structural analysis, and technical supervision of the residential construction project located in the Cocody district of Ivory Coast Abidjan. The construction site for which this Civil Engineer is engaged is situated at Parcel No. 782, Quartier Angré 8e Tranche, Cocody, Ivory Coast Abidjan. The Civil Engineer shall have unrestricted access to the site during all working hours (Monday to Saturday, 07:00 to 17:00) and shall coordinate with the site manager appointed by SIBTP. All site visits and inspections shall be conducted in accordance with the health and safety protocols mandated by the Ivorian Ministry of Public Works and Housing.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the République de Côte d'Ivoire, specifically the Ivorian Civil Code, the Code des Marchés Publics, and the regulations of the Ordre des Ingénieurs Civils de Côte d'Ivoire. Any disputes arising from this Purchase Order shall be submitted to the competent courts of Abidjan, Ivory Coast.
- Payment Schedule: Payment shall be made in three installments: 30% upon signing of this Purchase Order and commencement of geotechnical work; 40% upon delivery and approval of all structural design documents; and 30% upon completion of site supervision and issuance of the final compliance certificate. All payments shall be made via bank transfer to the account of the Civil Engineer as specified in Section 5.
- Timeline: The Civil Engineer shall deliver the geotechnical report within 21 calendar days of the issue date of this Purchase Order. Structural design documents shall be delivered within 60 calendar days. Site supervision shall commence no later than 90 days from the issue date and shall continue for the full 14-month construction period.
- Professional Liability: The Civil Engineer shall maintain professional indemnity insurance with a minimum coverage of 50,000,000 XOF throughout the duration of this engagement, as required by the Ordre des Ingénieurs Civils de Côte d'Ivoire. A certificate of insurance shall be provided to SIBTP prior to commencement of work.
- Intellectual Property: All drawings, calculations, reports, and technical documents produced by the Civil Engineer under this Purchase Order shall become the exclusive property of SIBTP upon full payment. The Civil Engineer retains the right to reference the project in professional portfolios with prior written consent from SIBTP.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination by SIBTP without cause, the Civil Engineer shall be compensated for all work completed up to the date of termination. In the event of termination due to professional negligence or breach of the Ivorian Building Code by the Civil Engineer, no further payment shall be due and SIBTP reserves the right to claim damages.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, civil unrest in the Abidjan metropolitan area, or government-mandated work stoppages, provided that the affected party notifies the other in writing within 7 days of the event.
- Compliance: The Civil Engineer warrants that all services rendered under this Purchase Order shall comply with the Ivorian Building Code (Code de la Construction), the seismic design provisions applicable to the Abidjan region (Zone Sismique 2), and all environmental regulations of the Direction de l'Environnement et de la Lutte contre les Changements Climatiques (DELCC) of Côte d'Ivoire.

This Purchase Order constitutes a binding agreement between SIBTP and the Civil Engineer upon signature by both parties. By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this document. This Purchase Order is valid for a period of 60 days from the date of issue, after which it shall lapse unless renewed in writing.
