This Purchase Order is issued to formally engage a qualified Civil Engineer and associated technical team for the design, supervision, and quality assurance of the Shinjuku Riverfront Flood Mitigation and Urban Drainage Upgrade Project, located in the Chiyoda and Shinjuku wards of Japan Tokyo. The Civil Engineer shall be responsible for all structural, geotechnical, hydraulic, and environmental engineering deliverables in strict compliance with the Japan Society of Civil Engineers (JSCE) standards, the Building Standards Act of Japan, and all applicable Tokyo Metropolitan Government regulations governing civil infrastructure works in the Tokyo metropolitan area.

- Payment shall be made in Japanese Yen (JPY) via bank transfer to the account designated by the Supplier.
- 30% advance payment upon acceptance of this Purchase Order and submission of a valid performance bond.
- 40% milestone payment upon completion and approval of the hydraulic modeling and geotechnical deliverables.
- 30% final payment upon successful handover, final inspection sign-off, and submission of all as-built documentation to the Tokyo Metropolitan Government.
- All payments are subject to a 30-day net payment cycle from the date of invoice receipt.
- The Civil Engineer engaged under this Purchase Order must hold a valid Japanese Registered Civil Engineer (RCE) license issued by the Japan Society of Civil Engineers and maintain professional liability insurance of no less than 100,000,000 JPY throughout the project duration.
- All work shall be performed in full compliance with the Japan Tokyo municipal building codes, the River Law of Japan, and the Standards for Hydraulic Structures published by the Ministry of Land, Infrastructure, Transport and Tourism (MLIT).
- The Supplier shall provide a minimum of two (2) qualified assistant Civil Engineers to support the primary engineer on-site in Japan Tokyo during all active construction phases.
- Any change in scope exceeding 5% of the total Purchase Order value must be approved in writing by both parties before additional work commences.
- The Civil Engineer shall submit weekly progress reports to the Buyer's project management office located in Shinjuku-ku, Tokyo, and monthly comprehensive reports to the Tokyo Metropolitan Government infrastructure division.
- Confidentiality: All project data, site plans, and engineering calculations related to this Japan Tokyo infrastructure project shall be treated as confidential and shall not be disclosed to any third party without written consent.
- Dispute resolution shall be governed by the laws of Japan, and any arbitration shall be conducted in Tokyo under the rules of the Japan Commercial Arbitration Association (JCAA).
- This Purchase Order is valid for a period of ninety (90) days from the date of issue. Failure to accept within this period shall render this document null and void.
