TERMS AND CONDITIONS

Scope of Work: The Civil Engineer and the team at Kathmandu Civil Engineering Consultants LLP shall perform all structural, geotechnical, and construction supervision services as described in this Purchase Order. All work shall comply with the Nepal National Code (NBC), the Building Code of Nepal, and regulations issued by the Department of Urban Development and Building Construction (DUDBC), Kathmandu.
Delivery / Completion Timeline: The Civil Engineer shall submit all design documents and drawings within 90 calendar days from the date of this Purchase Order. On-site supervision shall commence within 15 days of the purchaser's written notice and shall continue for the full 18-month construction period in Kathmandu.
Payment Terms: Payment shall be made in the following installments: 30% advance payment upon signing of this Purchase Order; 40% upon submission and approval of all design documents; 20% upon completion of 50% of on-site supervision; and 10% upon final project handover and submission of the as-built drawings. All payments shall be made via bank transfer to the supplier's account in Nepal.
Quality Standards: All materials procured under this Purchase Order, including structural steel, reinforcement, and concrete, shall meet the specifications set by the Civil Engineer and shall comply with the standards of the Nepal Standards and Specification Development Institute (NSSDI). Any non-conforming material shall be rejected at the supplier's cost.
Warranty & Liability: The Civil Engineer warrants that all design calculations, structural analyses, and engineering recommendations shall be free from defects for a period of five (5) years from the date of project completion. The supplier shall bear full liability for any structural failure attributable to design errors during this warranty period.
Intellectual Property: All drawings, reports, calculations, and documents produced under this Purchase Order shall become the exclusive property of the purchaser upon full payment. The Civil Engineer shall not reuse or disclose project-specific data without written consent.
Dispute Resolution: Any dispute arising from this Purchase Order shall first be resolved through amicable negotiation. If unresolved within 30 days, the matter shall be referred to arbitration under the Arbitration Act, 1999 of Nepal, with the seat of arbitration in Kathmandu, Nepal. The language of arbitration shall be English.
Force Majeure: Neither party shall be liable for delays caused by natural disasters (including earthquakes, which are a recognized risk in the Kathmandu Valley region), government orders, or other events beyond reasonable control, as defined under Nepali contract law.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Nepal, including the Contract Act, 2056 (1999) and the VAT Act, 2052 (1996).
Confidentiality: Both parties agree to maintain strict confidentiality regarding all project details, financial terms, and technical data exchanged under this Purchase Order. This obligation shall survive the termination of this agreement for a period of three (3) years.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the Civil Engineer services and materials to be delivered in Nepal Kathmandu.
