This Purchase Order is issued by Meridian Infrastructure & Development Ltd. to engage the services of a qualified Civil Engineer for the design, supervision, and structural assessment of the Meridian Coastal Residential Estate, a 48-unit mixed-use development located along the Lekki-Epe Expressway corridor in Nigeria Lagos. The Civil Engineer shall be responsible for all structural engineering deliverables, geotechnical review, foundation design, and on-site construction supervision in full compliance with the Building and Engineering (Control) Act, the Lagos State Building Control and Land Use Planning Law, and all applicable standards issued by the Nigerian Institution of Civil Engineers (NICE).

The scope of work under this Purchase Order encompasses the following: preparation of detailed structural drawings for all 48 residential units and the central commercial podium; geotechnical investigation review and foundation design (piled raft and strip foundations); design of reinforced concrete frames, slabs, and retaining walls; specification of all structural materials; weekly site supervision visits; and issuance of a final as-built structural report upon project completion. The Civil Engineer shall coordinate directly with the project architect, the quantity surveyor, and the Lagos State Ministry of Works and Transport where statutory approvals are required.

Payment against this Purchase Order shall be made in the following instalments, all denominated in Nigerian Naira and payable via bank transfer to the Civil Engineer's designated account at Zenith Bank Plc, Victoria Island Branch, Lagos:

  • Mobilisation Advance (30%): NGN 11,551,950.00 – payable within 7 working days of execution of this Purchase Order.
  • Design Milestone (40%): NGN 15,402,600.00 – payable upon submission and approval of all structural drawings by the project architect and the Lagos State Building Control Agency.
  • Supervision & Completion (25%): NGN 9,626,625.00 – payable in two equal tranches: 50% at the midpoint of the 26-week supervision period and 50% upon delivery of the final as-built report.
  • Retention (5%): NGN 1,925,325.00 – held for 12 months post-completion and released free of defects.
  1. This Purchase Order is governed by the laws of the Federal Republic of Nigeria, with particular reference to the Lagos State legal framework for construction and engineering services.
  2. The Civil Engineer warrants that all deliverables shall comply with BS 8110, BS EN 1992 (Eurocode 2), and the Nigerian Building and Road Research Institute (NBRRI) standards as adopted by the Lagos State government.
  3. The Civil Engineer shall maintain professional indemnity insurance of not less than NGN 50,000,000.00 for the duration of the engagement and shall provide a certificate of insurance upon request.
  4. All intellectual property in the structural designs produced under this Purchase Order shall vest in Meridian Infrastructure & Development Ltd. upon full payment.
  5. The Civil Engineer shall not subcontract any portion of the structural design work without prior written consent from the Purchasing Party.
  6. Any variation to the scope of work must be documented in a written Variation Order signed by both parties before execution. No verbal instructions shall be binding.
  7. Disputes arising from this Purchase Order shall be resolved through mediation in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act (Cap A18, LFN 2004), failing which the matter shall be referred to the Federal High Court, Lagos Division.
  8. The Civil Engineer shall comply with all health, safety, and environmental regulations applicable to construction sites in Nigeria Lagos, including the provisions of the Federal Ministry of Environment guidelines.

The Civil Engineer shall commence work within 5 working days of receipt of the mobilisation advance. All structural design drawings shall be delivered no later than 14 August 2025. On-site supervision shall span 26 consecutive weeks commencing 1 September 2025. The final as-built report shall be submitted within 10 working days of the practical completion certificate issued by the project architect. Failure to meet any milestone date without a mutually agreed extension shall attract a liquidated damages charge of NGN 50,000.00 per calendar day, capped at 10% of the total Purchase Order value.

This Purchase Order (MID-2025-04782) is issued in duplicate. One copy is retained by the Purchasing Party and one copy is issued to the Civil Engineer. This document constitutes a binding commercial agreement upon countersignature by both parties. All references to Nigeria Lagos in this document denote the State of Lagos, Federal Republic of Nigeria, as the jurisdiction of performance and governing law.
