This Purchase Order is issued to formally authorize the procurement of specialized Civil Engineer professional services for the design, structural analysis, and technical supervision of the Moscow Northern Ring Road (MCC) Phase III expansion project. The contracted Civil Engineer shall provide comprehensive engineering expertise in structural design, geotechnical assessment, hydraulic systems planning, and construction oversight in full compliance with the Russian national building codes (SNiP and SP standards) and all applicable municipal regulations governing infrastructure development in Russia Moscow.
The Civil Engineer engaged under this Purchase Order shall hold a valid professional certification issued by the Russian Union of Engineers (RUSE) and shall possess a minimum of fifteen (15) years of documented experience in large-scale civil infrastructure projects within the Moscow metropolitan region. All deliverables produced by the Civil Engineer must conform to the technical specifications outlined in Annex A of this Purchase Order and shall be subject to peer review by the Moscow City Construction Committee prior to final acceptance.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Russian Federation and all applicable federal and municipal legislation pertaining to construction and engineering services in Russia Moscow. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Moscow Arbitration Court.
- Performance Period: The Civil Engineer shall commence services no later than 1 July 2025 and shall complete all deliverables by 31 December 2026, subject to approved change orders issued under this Purchase Order.
- Payment Terms: Payment shall be made in Russian Rubles (RUB) via bank transfer to the account specified by the Supplier. Invoices shall be submitted monthly, and payment shall be processed within thirty (30) calendar days of invoice acceptance. A 10% retention shall be withheld from each interim payment and released upon final project acceptance by the Moscow City Construction Committee.
- Compliance and Licensing: The Civil Engineer must maintain a valid membership in the State Construction Supervision (GosStroyNadzor) registry and shall provide proof of professional liability insurance with a minimum coverage of 50,000,000 RUB for the duration of this Purchase Order.
- Intellectual Property: All design documents, calculations, reports, and technical drawings produced by the Civil Engineer under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Civil Engineer retains the right to reference the project in professional portfolios with prior written consent.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting the Russia Moscow region, provided that written notice is given within five (5) business days.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the Civil Engineer shall be compensated for all services rendered and materials procured up to the termination date, as documented in a final reconciliation statement.
- Health, Safety, and Environmental Compliance: The Civil Engineer shall ensure full compliance with all occupational safety regulations (TRUD) and environmental protection standards applicable to construction activities in Russia Moscow, including the Moscow City Environmental Protection Code.
- Confidentiality: All project data, site plans, and technical information exchanged under this Purchase Order shall be treated as strictly confidential and shall not be disclosed to third parties without the prior written authorization of the Buyer.
This Purchase Order is hereby authorized and approved for execution. The Civil Engineer services described herein are essential to the continued development of critical transportation infrastructure in Russia Moscow, and the procurement has been conducted in accordance with Federal Law No. 44-FZ on the Contract System for the Supply of Goods, Works, and Services for State and Municipal Needs.
