This Purchase Order is issued by SOGETRAAF Construction & Infrastructure S.A. to engage the services of a qualified Civil Engineer for the design, supervision, and technical oversight of the Almadies Coastal Road Rehabilitation Project located in Senegal Dakar. The Civil Engineer shall be responsible for all structural calculations, geotechnical assessments, drainage system design, and on-site construction supervision in full compliance with the Senegalese National Building Code (Code du Bâtiment du Sénégal) and the regulatory standards established by the Ministry of Public Works of Senegal.

The engagement of this Civil Engineer is critical to ensuring that all infrastructure works in Senegal Dakar meet the required safety, durability, and environmental standards. The Civil Engineer shall report directly to the Project Director and shall coordinate with municipal authorities in Dakar, including the Direction de l'Urbanisme et de la Construction (DUC) of the Ville de Dakar, to obtain all necessary permits and approvals prior to commencement of physical works.

The Civil Engineer engaged under this Purchase Order shall perform the following duties in Senegal Dakar:

  • Conduct all preliminary and detailed engineering design for the road, bridge, and drainage infrastructure components of the project.
  • Perform load calculations, seismic assessments, and material specifications in accordance with Eurocode and Senegalese national standards applicable in Dakar.
  • Supervise all on-site construction activities, ensuring that the contractor's work conforms to the approved engineering drawings and specifications.
  • Issue weekly progress reports, non-conformance notices, and variation order recommendations to the Project Director.
  • Coordinate with the Direction des Travaux Publics and the Ville de Dakar for all regulatory submissions, inspections, and final acceptance certifications.
  • Ensure that all works comply with the environmental regulations of Senegal, particularly those governing coastal construction in the Almadies area of Dakar.
  • Maintain a complete engineering file, including all calculations, correspondence, photographs, and test results, to be delivered to SOGETRAAF upon project completion.

Payment for the Civil Engineer services described in this Purchase Order shall be made as follows:

  • Advance Payment: 20% of the total contract value (XOF 10,041,800) upon signature of this Purchase Order and submission of a bank guarantee from a Senegalese-licensed financial institution.
  • Monthly Progress Payments: 70% of the total contract value (XOF 35,146,300) shall be paid in equal monthly installments over the 14-month supervision period, subject to approval of the Civil Engineer's monthly progress report.
  • Final Payment: 10% of the total contract value (XOF 5,020,900) shall be released upon successful completion of all works, submission of final as-built documentation, and issuance of the Certificate of Final Acceptance by the Senegal Dakar municipal authorities.

All payments shall be made via bank transfer to the account designated by the Civil Engineer, domiciled at a bank operating in Senegal. Payment terms are net 30 days from the date of invoice approval.

5.1 This Purchase Order is governed by the laws of the Republic of Senegal. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Dakar, Senegal.

5.2 The Civil Engineer warrants that he/she holds a valid professional license issued by the Ordre des Ingénieurs du Sénégal and maintains professional indemnity insurance with a minimum coverage of XOF 50,000,000 for the duration of the engagement.

5.3 The Civil Engineer shall not subcontract any portion of the engineering services without prior written consent from SOGETRAAF Construction & Infrastructure S.A.

5.4 All intellectual property, design documents, and engineering data produced under this Purchase Order shall become the exclusive property of SOGETRAAF upon full payment.

5.5 The Civil Engineer shall comply with all health, safety, and environmental regulations applicable to construction sites in Senegal Dakar, including the wearing of personal protective equipment and adherence to site safety protocols.

5.6 Either party may terminate this Purchase Order with 30 days' written notice in the event of material breach. In such case, the Civil Engineer shall be compensated for all services rendered up to the date of termination.

5.7 The Civil Engineer shall be subject to the tax obligations of Senegal, including the withholding of applicable income tax on professional services as mandated by the Direction Générale des Impôts et Domaines (DGID) of Senegal.

NOTE: This Purchase Order is specific to the Almadies Coastal Road Rehabilitation Project in Senegal Dakar. All engineering deliverables must be submitted in French (the official language of Senegal) with English translations provided for SOGETRAAF's international reporting requirements. The Civil Engineer must be physically present in Senegal Dakar for a minimum of 5 days per week during active construction phases.

This Purchase Order is valid upon signature by both parties. The Civil Engineer's acceptance of this Purchase Order constitutes full agreement to all terms, conditions, and scope of work described herein.
