This Purchase Order is issued by Meridian Infrastructure Development Pte. Ltd. (hereinafter referred to as the "Buyer") to Apex Engineering & Consulting Group Pte. Ltd. (hereinafter referred to as the "Supplier") for the engagement of a qualified and Board-registered Civil Engineer to provide comprehensive structural, geotechnical, and infrastructure design services for the Buyer's residential and commercial development project located at Plot 42, Jurong East, Singapore Singapore. The Civil Engineer shall be responsible for all aspects of civil engineering design, site investigation oversight, construction supervision, and compliance with the Building and Construction Authority (BCA) of Singapore Singapore.

All payments under this Purchase Order shall be made in Singapore Dollars (SGD) via bank transfer to the Supplier's designated account. Payment shall be structured as follows:
- Mobilisation Advance: 15% of the total Purchase Order value upon execution of this Purchase Order and receipt of a valid Performance Bond.
- Progress Payments: Monthly invoices submitted by the 5th working day of the following month, payable within 30 calendar days of invoice approval by the Buyer's project manager.
- Retention: 5% of each progress payment shall be retained by the Buyer and released in two equal instalments: 50% upon Practical Completion and 50% upon expiry of the Defects Liability Period (12 months).
- Final Payment: The balance, including release of retention, shall be settled within 45 days of the Civil Engineer's final certification and handover of all as-built documents.
- This Purchase Order is governed by and shall be construed in accordance with the laws of Singapore Singapore. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Singapore Singapore or, at the Buyer's election, resolved by arbitration under the rules of the Singapore International Arbitration Centre (SIAC).
- The Supplier warrants that the Civil Engineer engaged under this Purchase Order holds a valid Board of Professional Engineers (BPE) Singapore registration, is a member of the Institution of Engineers, Singapore (IES), and carries professional indemnity insurance of not less than SGD 5,000,000 per occurrence.
- All design deliverables produced by the Civil Engineer shall comply with the Building Control (Structures) Regulations, the Building Control (Stormwater) Regulations, and all applicable codes of practice issued by the Building and Construction Authority (BCA) of Singapore Singapore.
- The Supplier shall not sublet or assign any portion of the Civil Engineer services without the prior written consent of the Buyer. Any such consent shall not relieve the Supplier of its obligations under this Purchase Order.
- The Buyer reserves the right to inspect the Civil Engineer's work at any reasonable time during the project duration. The Supplier shall provide full access to all design files, calculation records, and site inspection reports.
- Time is of the essence. Failure by the Civil Engineer to meet the milestone dates set out in the approved project programme shall entitle the Buyer to claim liquidated damages at a rate of SGD 5,000 per calendar day of delay, up to a maximum of 10% of the total Purchase Order value.
- The Supplier shall comply with all applicable employment, safety, and environmental laws of Singapore Singapore, including the Workplace Safety and Health Act and the Environmental Protection and Management Act.
- This Purchase Order shall remain in full force and effect until all obligations of both parties have been discharged, including the completion of the Defects Liability Period and final settlement of all accounts.
- Confidentiality: All project information, site data, and design documents exchanged under this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without the prior written consent of the disclosing party.
Works under this Purchase Order shall commence on 1 July 2025 at the project site located at Plot 42, Jurong East, Singapore Singapore. The Civil Engineer shall mobilise all necessary personnel, software, and equipment within five (5) working days of the commencement date. All design deliverables shall be submitted in both hard copy (three sets) and electronic format (PDF and native CAD/BIM files) to the Buyer's project office in Singapore Singapore.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of Civil Engineer services in Singapore Singapore. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon execution by both authorised signatories.
