This Purchase Order is issued by Transvaal Infrastructure & Development Group (Pty) Ltd to Meridian Civil Engineering & Consulting (Pty) Ltd for the provision of professional Civil Engineer services in connection with the design, supervision, and technical oversight of the Johannesburg Eastern Corridor Road Upgrade Project. The Civil Engineer shall be responsible for all structural, geotechnical, hydraulic, and transportation engineering deliverables as specified in the attached Scope of Work (Annexure A). The services are to be rendered within the City of Johannesburg Metropolitan Municipality, Gauteng, South Africa, in full compliance with the National Building Regulations, SANS 10400, and all applicable municipal by-laws of the City of Johannesburg.

- This Purchase Order is governed by the laws of the Republic of South Africa. Any disputes arising from this Purchase Order shall be subject to the jurisdiction of the High Court of South Africa, Gauteng Division, Johannesburg.
- The Civil Engineer shall hold a valid registration with the South Africa Institute of Civil Engineers (SAICE) and the Council for the Built Environment (CBE) for the entire duration of the contract. Proof of registration shall be submitted prior to commencement of services.
- All Civil Engineer deliverables must comply with the latest editions of SANS standards, the National Building Regulations and Building Standards Act (Act 103 of 1977), and the City of Johannesburg Metropolitan Municipality's development control plan.
- Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Civil Engineer, subject to satisfactory completion of the applicable milestone as defined in Annexure B (Payment Schedule).
- The Civil Engineer shall maintain professional indemnity insurance of no less than ZAR 10,000,000.00 for the duration of the project, with Transvaal Infrastructure & Development Group (Pty) Ltd named as an additional insured party.
- Commencement of Civil Engineer services is scheduled for 1 July 2025 at the project site located along the N1/N3 interchange corridor, Johannesburg, South Africa. The Civil Engineer shall mobilise all personnel and equipment within five (5) business days of this Purchase Order's acceptance.
- The Civil Engineer shall submit weekly progress reports to the Project Manager at Transvaal Infrastructure & Development Group (Pty) Ltd, Sandton, Johannesburg, every Friday by 16:00 SAST.
- Any variation to the scope of Civil Engineer services must be approved in writing via a formal Variation Order signed by both parties before execution. No verbal instructions shall constitute a valid variation to this Purchase Order.
- The Civil Engineer shall comply with all Occupational Health and Safety Act (Act 85 of 1993) requirements and the City of Johannesburg's environmental management plan for the project area.
- This Purchase Order becomes effective upon signature by both parties. It supersedes all prior quotations, correspondence, and agreements relating to the Civil Engineer services described herein.
- Confidentiality: All project data, drawings, and technical information pertaining to this Civil Engineer engagement in Johannesburg shall be treated as confidential and shall not be disclosed to third parties without prior written consent.
