This Purchase Order is issued by Gulf Coast Infrastructure Development LLC to procure the professional services of a qualified Civil Engineer for the design, structural analysis, and site supervision of a multi-storey commercial complex located on Al Reem Island, United Arab Emirates Abu Dhabi. The Civil Engineer shall be responsible for all structural design calculations, geotechnical assessment coordination, construction drawings, and on-site quality assurance in full compliance with the Abu Dhabi Municipal Engineering Department (ADMED) regulations and the UAE Building Code.

- Advance Payment: 20% of the total Purchase Order value (AED 138,390.00) shall be paid within 14 working days of the Civil Engineer's written acceptance of this Purchase Order.
- Milestone Payments: 30% upon completion and approval of all structural design drawings and geotechnical reports; 30% upon completion of 50% of the on-site supervision period; 15% upon completion of the full 18-month supervision period.
- Final Payment: The remaining 5% shall be released within 30 days of the Civil Engineer's submission of the as-built documentation and final structural certification accepted by Abu Dhabi Municipality.
- Payment Method: Bank transfer to the supplier's designated account in a UAE-licensed commercial bank. All payments shall be made in United Arab Emirates Dirhams (AED).
- Invoice Requirements: Each invoice must reference this Purchase Order number (AD-CE-2025-00472) and include the supplier's VAT registration number.
- The Civil Engineer engaged under this Purchase Order must hold a valid professional license issued by the Abu Dhabi Department of Municipalities and Transport (DMT) and be registered with the Abu Dhabi Professional Engineers Council.
- All structural designs and engineering deliverables must comply with the UAE Building Code, Abu Dhabi Municipality Engineering Department (ADMED) standards, and applicable federal regulations of the United Arab Emirates.
- The Civil Engineer shall maintain professional indemnity insurance with a minimum coverage of AED 5,000,000 for the duration of the engagement.
- Any changes to the scope of work must be documented in a written variation order signed by both parties before execution. No additional work shall be performed without a formal amendment to this Purchase Order.
- The supplier shall provide weekly progress reports to the Purchaser and shall attend monthly coordination meetings at the project site in United Arab Emirates Abu Dhabi.
- Confidentiality: All project data, drawings, and proprietary information exchanged under this Purchase Order shall be treated as strictly confidential and shall not be disclosed to third parties without written consent.
- Dispute resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Abu Dhabi, United Arab Emirates, in accordance with the UAE Federal Arbitration Law, with proceedings conducted in the English language.
- This Purchase Order is governed by the laws of the United Arab Emirates and the specific laws and regulations of the Emirate of Abu Dhabi.
- The Civil Engineer shall not subcontract any portion of the structural design work without prior written approval from the Purchaser. On-site supervision may be delegated to qualified deputy engineers subject to the Purchaser's consent.
All engineering deliverables (drawings, reports, calculations, and certifications) shall be submitted in both hard copy (three sets) and electronic format (PDF and editable CAD/BIM files) to the Purchaser's project office in United Arab Emirates Abu Dhabi. The Purchaser shall have 10 working days to review and either accept or issue comments on each deliverable. Failure to respond within this period shall constitute deemed acceptance.
Either party may terminate this Purchase Order with 30 days' written notice in the event of material breach by the other party that remains uncured after a 15-day written notice. In the event of termination, the Civil Engineer shall be compensated for all work satisfactorily completed up to the date of termination, less any damages caused by the breach.
Note: This Purchase Order constitutes a binding agreement upon signature by both parties. All references to "United Arab Emirates Abu Dhabi" in this document refer to the Emirate of Abu Dhabi, a constituent emirate of the United Arab Emirates.
