Scope of Purchase Order – Civil Engineer ServicesThis Purchase Order is issued by Al Noor Construction & Development LLC for the engagement of qualified Civil Engineer professional services in the United Arab Emirates Dubai region. The Civil Engineer services shall encompass structural design, site supervision, geotechnical assessment, and compliance review for the "Marina Heights Residential Tower" project located in Dubai Marina, United Arab Emirates Dubai. The Civil Engineer shall ensure all deliverables conform to the Dubai Municipality building codes, the UAE Civil Defense regulations, and the applicable standards of the Emirates Authority for Standardization and Metrology (ESMA).

All prices are quoted in United Arab Emirates Dirhams (AED). VAT at 5% is applicable as per the Federal Tax Authority regulations of the United Arab Emirates. This Purchase Order is subject to the UAE Commercial Transactions Law.
Terms and Conditions- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Federal Law No. 18 of 1993 (Civil Code) and the Dubai DIFC Law No. 1 of 2004. Any disputes arising from this Purchase Order relating to Civil Engineer services shall be resolved through arbitration in Dubai under the DIFC-LCIA Arbitration Rules.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice receipt. A 10% mobilization advance shall be released upon execution of this Purchase Order. Monthly progress payments for Civil Engineer on-site supervision shall be issued on the 5th of each subsequent month, subject to satisfactory completion of the monthly work report.
- Delivery & Performance: The Civil Engineer shall commence services within seven (7) working days of the Purchase Order acceptance date. All structural design deliverables must be submitted to the Purchaser for review within the timelines specified in the attached Statement of Work. Failure to meet milestones may result in a penalty of 0.5% of the total Purchase Order value per day of delay, capped at 10%.
- Qualifications & Licensing: The Civil Engineer and all supporting engineering staff must hold valid professional licenses issued by the Dubai Municipality Engineering Department and the UAE Council of Engineers. The lead Civil Engineer must possess a minimum of fifteen (15) years of experience in high-rise structural engineering within the United Arab Emirates Dubai market.
- Insurance: The Supplier shall maintain Professional Indemnity Insurance with a minimum coverage of AED 5,000,000 and Public Liability Insurance of AED 2,000,000 for the duration of the Civil Engineer engagement. Certificates of insurance shall be provided prior to commencement of work.
- Confidentiality: All project drawings, geotechnical data, and proprietary information exchanged under this Purchase Order shall be treated as strictly confidential. The Civil Engineer shall not disclose any project details to third parties without written consent from the Purchaser, in compliance with UAE Federal Decree-Law No. 46 of 2021 on the Protection of Personal Data.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Civil Engineer shall be compensated for all services rendered up to the termination date, less any applicable penalties for incomplete deliverables.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in the United Arab Emirates, or acts of war, as defined under UAE law.
- Warranty: The Civil Engineer warrants that all design calculations, structural analyses, and engineering reports shall be free from defects for a period of two (2) years from the date of final handover certification. Any rectification required within this warranty period shall be performed at no additional cost to the Purchaser.
- Acceptance: This Purchase Order becomes binding upon signature by both parties. No modification to this Purchase Order shall be valid unless made in writing and signed by the authorized representatives of both Al Noor Construction & Development LLC and Emirates Civil Engineering Consultants FZ.
