This Purchase Order is issued by Thames Infrastructure Projects Ltd. to Meridian Civil Engineering Consultancy Ltd. for the provision of specialist Civil Engineer services in connection with the design, structural assessment, and construction supervision of the A406 North Circular road upgrade project situated in United Kingdom London. The appointed Civil Engineer shall be responsible for all structural engineering deliverables, geotechnical investigations, drainage design, and compliance with the UK Building Regulations and the Institution of Civil Engineers (ICE) Code of Practice. All work shall be executed in accordance with the specifications set out in this Purchase Order and the attached Technical Schedule (Appendix A).

This Purchase Order is governed by the laws of England and Wales. All disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of United Kingdom London. The terms below form an integral part of this Purchase Order and shall be read in conjunction with the JCT Design and Build Contract 2016 (as amended) and the ICE Conditions of Contract for Consultancy Services, 7th Edition.
- Appointment of Civil Engineer: The Civil Engineer appointed under this Purchase Order shall be a Chartered Member of the Institution of Civil Engineers (MICE) or a Member of the Institution of Structural Engineers (MIStructE). The named Civil Engineer for this project is Mr. David R. Ashworth, MICE, CEng, who shall not be substituted without the prior written consent of Thames Infrastructure Projects Ltd.
- Commencement and Completion: The Civil Engineer shall commence services no later than 1 July 2025 and shall complete all deliverables by 30 September 2025, unless otherwise agreed in writing. Time is of the essence in respect of this Purchase Order.
- Payment: Invoices shall be submitted monthly in arrears. Payment shall be made within 30 calendar days of receipt of a valid VAT invoice, in accordance with the UK Late Payment of Commercial Debts (Interest) Act 1998. All payments shall be made by BACS transfer to the account nominated by Meridian Civil Engineering Consultancy Ltd.
- Insurance: The Civil Engineer shall maintain Professional Indemnity Insurance of not less than £5,000,000 per claim and in the aggregate, and Public Liability Insurance of not less than £10,000,000, throughout the duration of this Purchase Order and for a further six years thereafter.
- Intellectual Property: All drawings, calculations, reports, and BIM models produced by the Civil Engineer under this Purchase Order shall become the property of Thames Infrastructure Projects Ltd. upon full payment. The Civil Engineer retains the right to use generic methodologies and standard details in future projects.
- Compliance with UK Regulations: All work shall comply with the Building Regulations 2010 (as amended), the Town and Country Planning Act 1990, the Environmental Protection Act 1990, and all applicable planning permissions granted by the London Borough of Tower Hamlets. The Civil Engineer shall ensure full compliance with CDM Regulations 2015.
- Termination: Either party may terminate this Purchase Order by giving 28 days’ written notice. In the event of termination for convenience, the Civil Engineer shall be paid for all services rendered up to the date of termination, plus reasonable demobilisation costs not exceeding 5% of the remaining contract value.
- Confidentiality: Both parties shall treat all information exchanged under this Purchase Order as confidential and shall not disclose it to third parties without prior written consent, in accordance with the UK Data Protection Act 2018 and the UK GDPR.
- Warranties: The Civil Engineer warrants that all services shall be performed with reasonable skill and care, in accordance with the current ICE Code of Practice, and that all structural designs shall achieve a design life of 120 years as specified for the A406 corridor in United Kingdom London.
All physical deliverables (drawings, reports, and BIM files) shall be delivered electronically to the project management office at 142 Victoria Embankment, London, EC4Y 0DQ, United Kingdom. Hard copies (where required) shall be posted to the same address. The Civil Engineer shall have full access to the A406 construction site in Tower Hamlets, London, during normal working hours (07:00–18:00, Monday to Friday), subject to the site-specific Health and Safety Plan and the requirements of the CDM Coordinator.
This Purchase Order becomes binding upon signature by both parties. By signing below, the parties acknowledge that they have read, understood, and agree to be bound by all terms, conditions, and specifications set out in this Purchase Order for the provision of Civil Engineer services in United Kingdom London.
