This Purchase Order is issued by Saigon Infrastructure Development JSC to formally engage the services of a qualified Civil Engineer for the design oversight, structural supervision, and construction management of the District 2 Riverside Commercial Complex project located in Vietnam Ho Chi Minh City. The Civil Engineer shall provide full-time on-site and off-site professional services in accordance with Vietnamese construction regulations, the QCVN 03:2021/BXD standard, and all applicable building codes enforced by the Department of Construction of Ho Chi Minh City.
The scope of work for the Civil Engineer includes, but is not limited to: structural design verification of the 28-story commercial tower and 4-story podium; geotechnical assessment coordination for the riverfront foundation system; supervision of reinforced concrete works, steel framing, and masonry; review and approval of all shop drawings and construction methodologies; monthly progress reporting to the Purchaser; and compliance auditing against the Environmental Impact Assessment approved for the Vietnam Ho Chi Minh City site.

4. Payment Terms- Payment shall be made in monthly installments within 30 (thirty) calendar days from the date of invoice submission by the Civil Engineer, provided that the monthly progress report has been accepted by the Purchaser's project director.
- A mobilization advance of 10% of the total Purchase Order value (VND 267,960,000) shall be disbursed within 7 (seven) business days of the signed acceptance of this Purchase Order.
- All payments shall be made via bank transfer to the account designated by the Civil Engineer, held at Vietcombank, Ho Chi Minh City Branch, SWIFT: BFTVVNVX.
- Any disputed amounts shall be withheld pending resolution, but undisputed portions must be paid within the stipulated 30-day window to avoid late-payment penalties of 0.05% per day as per Vietnamese commercial law.
- This Purchase Order is governed by the Civil Code of the Socialist Republic of Vietnam (2015) and the Construction Law of Vietnam (2014, amended 2020). Any disputes arising from this Purchase Order shall be resolved through arbitration at the Vietnam International Arbitration Centre (VIAC) in Ho Chi Minh City.
- The Civil Engineer warrants that he holds a valid Class A (Hạng I) construction supervision license issued by the Ministry of Construction of Vietnam and maintains professional liability insurance with a minimum coverage of VND 5,000,000,000 for the duration of the engagement in Vietnam Ho Chi Minh City.
- The Civil Engineer shall comply with all local labor regulations, environmental permits, and safety standards applicable to construction activities in Ho Chi Minh City, including Decree 12/2020/NĐ-CP on occupational safety.
- The Purchaser reserves the right to terminate this Purchase Order with 60 (sixty) days' written notice in the event of material breach, gross negligence, or failure to meet the project milestones outlined in the attached Schedule A.
- All intellectual property, design documents, and engineering reports produced under this Purchase Order shall become the sole property of the Purchaser upon full payment.
- The Civil Engineer shall not subcontract any portion of the structural design or supervision work without prior written consent from the Purchaser. Any approved subcontracting in Vietnam Ho Chi Minh City must be disclosed in writing at least 14 days before commencement.
- Force majeure events, including but not limited to typhoons, flooding in the Saigon River basin, or government-mandated construction halts in Ho Chi Minh City, shall excuse timely performance for the duration of the event, provided written notice is given within 48 hours.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the engagement of the Civil Engineer for the specified project in Vietnam Ho Chi Minh City. This document, together with its attached schedules, supersedes all prior negotiations, letters of intent, and verbal agreements between the parties.
