Description of Purchase
This Purchase Order is issued by Meridian Technology Solutions Inc. to formally authorize the procurement of a qualified Computer Engineer professional to be assigned to our engineering operations in Canada Toronto. The selected Computer Engineer will be responsible for designing, developing, testing, and maintaining embedded systems, firmware, and hardware-software integration solutions for our telecommunications product line. The Computer Engineer will report directly to the Vice President of Engineering and will work full-time (40 hours per week) at our primary office facility located at 450 King Street West, Toronto, Ontario, Canada. This Purchase Order governs all terms, conditions, compensation, and deliverables associated with the engagement of the Computer Engineer for the specified contract period.

Terms and Conditions
1. Scope of Work: The Computer Engineer engaged under this Purchase Order shall perform duties consistent with a senior-level engineering role, including but not limited to circuit design, PCB layout review, firmware development in C/C++, hardware debugging, and cross-functional collaboration with the software and product teams at the Canada Toronto office.
2. Payment Terms: Net 30 days from the date of invoice. Invoices shall be submitted monthly in arrears. All payments shall be made in Canadian Dollars (CAD) via electronic funds transfer (EFT) to the vendor account specified on the invoice. Late payments shall accrue interest at 1.5% per month as permitted under the Ontario Business Corporations Act.
3. Commencement and Duration: The Computer Engineer shall commence duties on or before July 1, 2025, at the Canada Toronto facility. The initial contract term is twelve (12) months, with an option to renew for an additional twelve (12) months subject to mutual written agreement no later than thirty (30) days prior to expiry.
4. Compliance: The vendor shall ensure full compliance with all applicable federal and provincial Canadian employment legislation, including the Canada Labour Code (where applicable), the Ontario Employment Standards Act, 2000, the Ontario Occupational Health and Safety Act, and all relevant municipal bylaws in the City of Toronto. The Computer Engineer shall be provided with a valid work permit or permanent resident status as required by Canadian immigration law.
5. Confidentiality and IP: The Computer Engineer shall be bound by a non-disclosure agreement (NDA) and intellectual property assignment agreement executed prior to the commencement date. All work product, designs, code, and documentation created during the engagement shall be the sole property of Meridian Technology Solutions Inc.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of material breach, termination may be effected with seven (7) days notice. Upon termination, the vendor shall facilitate an orderly transition of the Computer Engineer role and return all company property.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved through arbitration in Toronto, Ontario, Canada, in accordance with the Arbitration Act, 1991 (Ontario).
8. Insurance: The vendor shall maintain comprehensive general liability insurance with a minimum coverage of $5,000,000 CAD and professional liability (errors and omissions) insurance of $2,000,000 CAD for the duration of this Purchase Order.
