Description of Procured Services

This Purchase Order is issued by Nile Delta Technologies S.A.E. to Alexandria Digital Solutions & Engineering Co. for the engagement of a qualified Computer Engineer to provide specialized technical services at the company's primary operational facility located in Egypt Alexandria. The Computer Engineer shall be responsible for the design, implementation, testing, and ongoing maintenance of the enterprise-level computer infrastructure, including server architecture, network systems, cybersecurity protocols, and software integration platforms. The scope of work is specifically tailored to the operational requirements of the Egypt Alexandria branch and its associated satellite offices within the greater Alexandria metropolitan area.

Terms and Conditions
  1. This Purchase Order constitutes a binding agreement between Nile Delta Technologies S.A.E. and Alexandria Digital Solutions & Engineering Co. for the provision of Computer Engineer services as described herein. All terms are governed by the laws of the Arab Republic of Egypt.
  2. The Computer Engineer assigned to this contract must hold a minimum of a Bachelor's degree in Computer Engineering or a related field from an accredited Egyptian or internationally recognized university, with a minimum of eight (8) years of progressive professional experience in enterprise IT environments.
  3. All services shall be performed at the designated facility in Egypt Alexandria, 42 Corniche El-Nil Street, Smouha District, unless otherwise agreed in writing by both parties. The Computer Engineer shall comply with all site safety protocols and access control procedures established by the buyer.
  4. Payment terms: 30% advance payment upon execution of this Purchase Order, 40% upon completion of the mid-term milestone (month 6), and 30% upon final acceptance and delivery of all deliverables. Payments shall be made via bank transfer to the vendor's designated account within Egypt Alexandria.
  5. The Computer Engineer shall maintain full confidentiality of all proprietary data, system credentials, and business information encountered during the course of engagement at the Egypt Alexandria facility. A separate Non-Disclosure Agreement (NDA) is attached as Appendix A to this Purchase Order.
  6. Any modifications, scope changes, or extensions to this Purchase Order must be documented in a written change order signed by both parties. No verbal agreements shall be considered valid.
  7. The vendor shall provide a dedicated Computer Engineer who is not simultaneously engaged in conflicting projects. Substitution of the assigned Computer Engineer requires prior written approval from the buyer's Procurement Director.
  8. Disputes arising from this Purchase Order shall be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be submitted to the competent courts in Egypt Alexandria for adjudication.
  9. This Purchase Order is valid for a period of twelve (12) months from the date of issue. Upon expiration, renewal shall be subject to mutual written consent and a new Purchase Order issuance.

Important Notice: This Purchase Order is issued specifically for the procurement of Computer Engineer professional services to be rendered in Egypt Alexandria. All parties acknowledge that the terms herein are exclusive to the Egypt Alexandria operational scope. Any extension of services to other Egyptian governorates or international locations shall require a separate Purchase Order and contractual amendment. The Computer Engineer's performance shall be evaluated quarterly against the Key Performance Indicators (KPIs) outlined in Appendix B of this document.
