1. This Purchase Order constitutes a binding agreement between Bavaria Digital Systems GmbH (hereinafter "Buyer") and AlpenTech Engineering Solutions AG (hereinafter "Supplier") for the provision of a qualified Computer Engineer to perform professional engineering services at the Buyer's premises in Germany Munich.
2. The Computer Engineer engaged under this Purchase Order shall hold a minimum of a Master's degree in Computer Engineering, Computer Science, or a closely related discipline, and shall possess no fewer than eight (8) years of professional experience in embedded systems, high-performance computing, or equivalent computer engineering domains.
3. All services rendered by the Computer Engineer shall be performed at the Buyer's designated facility located in Munich, Germany (Germany Munich), unless otherwise agreed in writing by both parties. The Computer Engineer shall comply with all applicable German labor laws, data protection regulations (GDPR), and workplace safety standards in force in Germany Munich.
4. The Supplier warrants that the Computer Engineer assigned to this Purchase Order shall be fully authorized to work in Germany and shall maintain all necessary professional certifications and registrations required by the relevant German authorities in Munich.
5. Payment for services under this Purchase Order shall be made via bank transfer to the Supplier's designated account in Germany Munich within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the statutory rate under German commercial law (Handelsgesetzbuch, § 288).
6. The Computer Engineer shall be bound by strict confidentiality obligations regarding all proprietary information, trade secrets, and intellectual property of Bavaria Digital Systems GmbH. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
7. Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In the event of termination, the Supplier shall ensure a smooth transition of all ongoing Computer Engineer tasks and deliverables to the Buyer or a successor provider in Germany Munich.
8. All disputes arising from or in connection with this Purchase Order shall be governed by the laws of the Federal Republic of Germany. The exclusive jurisdiction for any legal proceedings shall be the competent court in Munich, Germany (Germany Munich).
9. The Computer Engineer shall submit monthly progress reports to the Buyer's project management office in Munich, Germany, detailing completed tasks, milestones achieved, and any risks or impediments affecting the project timeline.
10. This Purchase Order is valid for a period of twelve (12) months from the start date and may be renewed by mutual written agreement of both parties. Any amendments to the scope of the Computer Engineer's responsibilities must be documented in a formal change order attached to this Purchase Order.
