This Purchase Order is issued by Al-Rafidain Digital Infrastructure Solutions Co. Ltd. (hereinafter referred to as the "Buyer") to GlobalTech Professional Staffing & Consulting LLC (hereinafter referred to as the "Supplier") for the provision of a qualified Computer Engineer to be deployed and stationed at the Buyer's primary operational facility located in Iraq Baghdad. The Computer Engineer shall be responsible for the design, implementation, maintenance, and optimization of the Buyer's enterprise computing infrastructure, network architecture, and data center operations within the Iraq Baghdad premises.

The Computer Engineer must hold a minimum of a Bachelor's degree in Computer Engineering, Computer Science, or a closely related discipline from an accredited institution, and must possess a minimum of seven (7) years of progressive professional experience in enterprise IT infrastructure management. The candidate must demonstrate proven expertise in server virtualization, cloud migration strategies, cybersecurity protocols, and network engineering. Additionally, the Computer Engineer must be fluent in English and possess working proficiency in Arabic to effectively communicate with local staff and stakeholders in Iraq Baghdad.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both authorized representatives. All terms herein govern the engagement of the Computer Engineer for the Iraq Baghdad operational site.
2. The Supplier shall ensure that the Computer Engineer meets all qualifications, certifications, and competency standards specified in Section 3 of this Purchase Order prior to deployment in Iraq Baghdad.
3. Payment shall be made via wire transfer to the Supplier's designated bank account within thirty (30) calendar days of receipt of a valid invoice. The initial recruitment and relocation fees (Items 001, 003, 004, and 005) are due upon confirmation of the Computer Engineer's arrival in Iraq Baghdad.
4. The monthly professional services fee (Item 002) shall be invoiced on the first business day of each month and is payable within the Net 30 period. Failure to remit payment within the stipulated timeframe shall incur a late penalty of 1.5% per month on the outstanding balance.
5. The Computer Engineer shall be subject to the Buyer's internal policies, code of conduct, and security protocols applicable to all personnel operating within the Iraq Baghdad facility. The Supplier retains the right to replace the Computer Engineer with a qualified substitute of equivalent or superior caliber upon thirty (30) days' written notice.
6. All intellectual property, system designs, network configurations, and technical documentation produced by the Computer Engineer during the term of this Purchase Order shall be the sole property of the Buyer.
7. The Supplier shall maintain comprehensive professional liability insurance and workers' compensation coverage for the Computer Engineer throughout the duration of the engagement in Iraq Baghdad.
8. This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Iraq, with any disputes to be resolved through arbitration in Baghdad under the rules of the Iraqi Arbitration Center.
9. Either party may terminate this Purchase Order with sixty (60) days' written notice. Upon termination, the Buyer shall be liable for all services rendered up to the effective date of termination.
10. The Supplier warrants that the Computer Engineer shall comply with all applicable Iraqi labor laws, immigration regulations, and professional licensing requirements for the duration of the assignment in Iraq Baghdad.

The Computer Engineer shall commence duties at the Iraq Baghdad site no later than 1 August 2025. The initial contract term is twelve (12) months, with the option for renewal at the Buyer's discretion. The Purchase Order shall remain in full force and effect until the completion of all deliverables and final settlement of all financial obligations.
