This Purchase Order is issued by TechNova Solutions S.r.l. to formally request the engagement of a qualified Computer Engineer to provide specialized technical services at our primary operational facility located in Italy Milan. The Computer Engineer shall be responsible for the design, implementation, testing, and ongoing maintenance of our enterprise-grade computing infrastructure, network architecture, and embedded systems deployed across our Italy Milan headquarters and satellite offices in the surrounding Lombardy region.

The Purchase Order covers a twelve-month engagement period commencing on 01 August 2025 and concluding on 31 July 2026, with an option for renewal subject to mutual agreement and performance evaluation. The Computer Engineer must hold a minimum of a Laurea Magistrale in Ingegneria Informatica or an equivalent degree recognized by the Italian Ministry of Education, and must possess a minimum of eight (8) years of professional experience in systems engineering, hardware-software integration, and enterprise IT infrastructure management.

All services under this Purchase Order shall be performed at the Buyer's premises located in Italy Milan, specifically at Via Torino 42, 20123. The Computer Engineer is expected to be physically present at the Italy Milan site for a minimum of five (5) working days per week, Monday through Friday, between the hours of 08:30 and 17:30, with a one-hour unpaid lunch break. Remote work may be permitted for up to one (1) day per week, subject to prior written approval from the Buyer's Project Manager. All deliverables, including technical documentation, system blueprints, and compliance reports, must be submitted in both Italian and English to satisfy the regulatory requirements applicable to engineering services in Italy Milan and the broader European Union jurisdiction.

Payment for this Purchase Order shall be made via bank transfer (bonifico bancario) to the Supplier's designated account in Italy Milan. Invoices shall be submitted on a monthly basis by the 5th business day of the following month. Payment terms are Net 30 days from the date of invoice receipt. Late payments shall accrue interest at the rate of 1.5% per month in accordance with Italian commercial law (Codice Civile, Art. 1284). The total value of this Purchase Order is EUR 172,386.00 inclusive of VAT.

• 7.1 – This Purchase Order constitutes a binding agreement upon signature by both parties. All terms are governed by the laws of the Italian Republic, with jurisdiction vested in the Tribunale di Milano, Italy Milan.
• 7.2 – The Computer Engineer shall comply with all applicable Italian labor regulations, data protection laws (GDPR and Italian D.Lgs. 196/2003), and professional engineering codes of conduct as registered with the Ordine degli Ingegneri di Milano.
• 7.3 – The Supplier warrants that the Computer Engineer assigned to this Purchase Order shall not be engaged in any conflicting obligations with third parties during the contract period.
• 7.4 – Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination.
• 7.5 – The Computer Engineer shall maintain professional liability insurance with a minimum coverage of EUR 1,000,000, valid throughout the duration of this Purchase Order.
• 7.6 – All intellectual property developed specifically for the Buyer under this Purchase Order shall be the exclusive property of TechNova Solutions S.r.l. upon full payment.
• 7.7 – The Supplier shall provide a replacement Computer Engineer of equivalent or superior qualification within ten (10) business days should the originally assigned engineer become unavailable.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Computer Engineer in Italy Milan. This document shall be executed in two (2) original copies, one retained by each party.
