3. Description of PurchaseThis Purchase Order is issued by Kyoto Advanced Technology Solutions K.K. to procure the professional services of a qualified Computer Engineer for deployment at our primary research and development facility located in Japan Kyoto. The Computer Engineer shall be responsible for the design, implementation, testing, and maintenance of advanced computing infrastructure, embedded systems, and network architecture supporting our semiconductor research laboratory and data processing center in the Japan Kyoto metropolitan area.
The selected Computer Engineer must hold a minimum of a Master's degree in Computer Engineering, Computer Science, or a closely related discipline from an accredited institution. A minimum of seven (7) years of progressive professional experience in hardware-software co-design, FPGA development, and high-performance computing systems is required. The Computer Engineer shall be fluent in both Japanese and English to facilitate seamless communication with our multidisciplinary team based in Japan Kyoto.

The Computer Engineer engaged under this Purchase Order shall perform the following duties at the Japan Kyoto facility:
- Design and prototype next-generation microcontroller architectures for industrial automation applications.
- Develop and optimize firmware for embedded sensor arrays deployed across the Japan Kyoto manufacturing partner network.
- Oversee the integration of high-speed data acquisition systems with the central research computing cluster.
- Conduct performance benchmarking, thermal analysis, and reliability testing of all hardware subsystems.
- Mentor junior engineering staff and contribute to the Japan Kyoto team's quarterly technical publications.
- Ensure full compliance with Japanese Industrial Standards (JIS) and applicable regulatory frameworks governing electronic equipment in the Japan Kyoto region.
- Commencement Date: The Computer Engineer shall report to the Japan Kyoto facility no later than 1 August 2025. The supplier shall ensure all immigration and work-permit documentation is finalized prior to this date.
- Payment Terms: Payment shall be made in monthly installments of JPY 388,667 (inclusive of tax) via bank transfer to the account designated by the supplier. The first payment is due within thirty (30) days of the commencement date.
- Contract Duration: This Purchase Order covers a twelve (12) month engagement period. Renewal shall be subject to mutual written agreement and a separate Purchase Order issuance.
- Confidentiality: The Computer Engineer shall be bound by a non-disclosure agreement covering all proprietary technologies, research data, and trade secrets of Kyoto Advanced Technology Solutions K.K. This obligation extends for three (3) years beyond the termination of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the supplier shall facilitate the orderly transition of all work-in-progress related to the Computer Engineer's responsibilities.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes shall be resolved through arbitration in Japan Kyoto under the rules of the Japan Commercial Arbitration Association.
- Compliance: The supplier warrants that the Computer Engineer meets all eligibility requirements for employment in Japan Kyoto and that all statutory deductions, including income tax, pension, and health insurance contributions, shall be processed in accordance with Japanese labor law.
- Intellectual Property: All inventions, designs, code, and documentation produced by the Computer Engineer during the term of this Purchase Order shall be the sole property of Kyoto Advanced Technology Solutions K.K.
