This Purchase Order is issued by Moscow Digital Infrastructure Solutions LLC (hereinafter referred to as the "Buyer") to TechBridge Engineering Partners LLP (hereinafter referred to as the "Supplier") for the procurement of specialized Computer Engineer professional services. The scope of work under this Purchase Order encompasses the deployment, configuration, maintenance, and technical oversight of enterprise-grade computing infrastructure located within the Russia Moscow metropolitan area. The Computer Engineer engaged under this agreement shall be responsible for ensuring the operational integrity of all hardware and software systems managed by the Buyer's Moscow operations division.

- Acceptance: This Purchase Order shall become binding upon written acceptance by the Supplier within five (5) business days of the date of issue. Failure to respond within this period shall constitute automatic acceptance under the commercial practices of Russia Moscow.
- Commencement of Services: The Computer Engineer personnel assigned under this Purchase Order shall commence their duties no later than 1 July 2025 at the Buyer's designated facility in Russia Moscow. All onboarding, security clearance, and access provisioning shall be completed within the first ten (10) business days.
- Performance Standards: The Computer Engineer shall adhere to all applicable Russian Federation technical standards (GOST), industry best practices, and the Buyer's internal IT governance policies. Service level agreements (SLAs) specifying response times, uptime guarantees, and resolution targets are attached as Appendix A to this Purchase Order.
- Payment Terms: Payment shall be made in Russian Rubles (RUB) via bank transfer to the Supplier's designated account. Invoices shall be submitted on a monthly basis by the 5th of each month. Payment is due within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the rate of 0.1% per calendar day as stipulated under the Civil Code of the Russian Federation.
- Confidentiality and Data Protection: The Computer Engineer shall be bound by a Non-Disclosure Agreement (NDA) and shall comply fully with Russian Federal Law No. 152-FZ "On Personal Data" and all relevant regulations governing data processing within Russia Moscow. All proprietary information, system credentials, and architectural documentation of the Buyer shall remain strictly confidential.
- Intellectual Property: All work product, reports, configurations, and documentation created by the Computer Engineer in the course of fulfilling this Purchase Order shall be the exclusive property of the Buyer. The Supplier grants the Buyer a perpetual, irrevocable license to use, modify, and distribute all deliverables.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect accrued payment obligations for services rendered up to the date of termination.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Russian Federation. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration at the Arbitration Court of the City of Russia Moscow, in accordance with its rules of procedure.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or acts of war affecting the Russia Moscow region.
- Compliance: The Supplier warrants that the Computer Engineer personnel assigned to this engagement hold valid professional certifications, possess the requisite work permits or residency status for employment in Russia Moscow, and are in full compliance with all applicable labor and immigration regulations of the Russian Federation.
All services under this Purchase Order shall be performed at the following location in Russia Moscow: Moscow Digital Infrastructure Solutions LLC, Primary Data Center, 119021, Russia Moscow, Tverskaya Street, Building 12, Sub-level 2. The Computer Engineer shall report to the Buyer's Chief Information Officer, Mr. Alexander P. Volkov, and shall maintain a minimum on-site presence of five (5) days per week during standard business hours (09:00–18:00 Moscow Time, MSK).
