1. Description of Procured ServicesThis Purchase Order is issued by Northern Digital Infrastructure LLC for the procurement and engagement of a qualified Computer Engineer to provide specialized technical services at the company's primary operational facility located in Russia Saint Petersburg. The Computer Engineer shall be responsible for the design, implementation, maintenance, and optimization of the company's enterprise-level computing infrastructure, network architecture, and data center systems. All services rendered under this Purchase Order shall be performed exclusively within the jurisdiction of Russia Saint Petersburg, in compliance with all applicable Russian federal and municipal regulations governing professional engineering services.

- Place of Performance: All services under this Purchase Order shall be performed at the Purchasing Party's facility in Russia Saint Petersburg, specifically at 42 Liteyny Avenue, Vasilyevsky Island. The Computer Engineer is required to be physically present at this location for a minimum of five (5) working days per week, Monday through Friday, between the hours of 09:00 and 18:00 Moscow Time (MSK).
- Qualification Requirements: The Computer Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Computer Engineering, Computer Science, or a directly related field from an accredited institution. The Computer Engineer must possess a minimum of seven (7) years of professional experience in enterprise IT infrastructure and must demonstrate proficiency in Russian and English languages to facilitate communication within the Russia Saint Petersburg operations team.
- Payment Terms: Payment for services rendered under this Purchase Order shall be made in Russian Rubles (RUB) via bank transfer to the Supplier's designated account. Invoices shall be submitted on the last working day of each calendar month. Payment is due within thirty (30) calendar days from the date of invoice receipt. Late payments shall incur a penalty of 0.1% per calendar day as stipulated under Article 317.1 of the Civil Code of the Russian Federation.
- Contract Duration: This Purchase Order shall remain in effect for a period of twelve (12) months from the date of mutual acceptance, commencing on 1 July 2025 and expiring on 30 June 2026, unless terminated earlier in accordance with the provisions herein. Renewal of the Computer Engineer engagement shall be subject to a separate written agreement executed no later than sixty (60) days prior to the expiration date.
- Confidentiality and Data Protection: The Computer Engineer shall be bound by a strict Non-Disclosure Agreement (NDA) and shall comply fully with Federal Law No. 152-FZ "On Personal Data" and all applicable data protection regulations in force in Russia Saint Petersburg and the Russian Federation. All proprietary information, system credentials, and technical documentation accessed during the performance of this Purchase Order shall remain the exclusive property of the Purchasing Party.
- Warranty and Liability: The Supplier warrants that the Computer Engineer shall perform all services with the degree of skill, care, and diligence expected of a qualified professional in the field of computer engineering. The Supplier shall be liable for any damages arising from negligence, gross misconduct, or failure to meet the specifications outlined in this Purchase Order. The total liability of the Supplier under this Purchase Order shall not exceed the total contract value stated in Section 2.
- Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of material breach by the Supplier, including but not limited to the Computer Engineer's failure to meet performance benchmarks for two consecutive months, the Purchasing Party may terminate this Purchase Order immediately upon written notice. Upon termination, the Supplier shall return all company property, access credentials, and documentation within five (5) business days.
- Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Russian Federation. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration at the Arbitration Court of Russia Saint Petersburg and the Leningrad Region, in accordance with its rules of procedure. The language of arbitration shall be Russian.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from force majeure events, including but not limited to natural disasters, acts of war, government sanctions, or pandemics affecting operations in Russia Saint Petersburg. The affected party shall notify the other party in writing within seven (7) days of the occurrence of such event.
- Intellectual Property: All work products, designs, code, documentation, and deliverables created by the Computer Engineer in the course of performing services under this Purchase Order shall be deemed work-for-hire and shall vest exclusively in the Purchasing Party upon creation and payment.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of a Computer Engineer in Russia Saint Petersburg. This document constitutes a binding agreement between the parties upon execution by both authorized representatives.
