This Purchase Order is issued by TechNova West Africa S.A. to formally procure the professional services of a qualified Computer Engineer for the duration of the project period specified herein. The Computer Engineer shall be engaged to perform advanced system architecture design, network infrastructure deployment, software integration, and technical oversight for the company’s new data center facility located in the industrial zone of Ngor, Senegal Dakar. All deliverables, on-site work, and project milestones shall be executed within the administrative boundaries of the Dakar region, Republic of Senegal, in full compliance with the Senegalese labor code, the Code des Marchés Publics et Privés, and all applicable regulations of the Agence Nationale de l’Informatique (ANI) of Senegal.

The Computer Engineer contracted under this Purchase Order shall be responsible for the following activities, all to be performed in or around Senegal Dakar:
- Design and document the complete hardware and software architecture for the TechNova West Africa data center, including server rack layouts, cooling systems, power redundancy plans, and security protocols.
- Deploy, configure, and test all network infrastructure components including core switches, firewalls, load balancers, and fiber-optic cabling within the Ngor industrial site in Dakar.
- Develop and integrate custom software modules that connect the company’s ERP system with third-party logistics and banking platforms operating in Senegal.
- Conduct a minimum of eight (8) structured training sessions for the internal IT team of TechNova West Africa, held at the company’s Plateau office in Dakar, covering system administration, troubleshooting, and security best practices.
- Provide monthly technical support, system health monitoring, and preventive maintenance for a period of six (6) months following the completion of the deployment phase.
- Submit a comprehensive final project report in both French and English, including as-built diagrams, configuration documentation, and a 12-month maintenance roadmap.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Senegal, including the Senegalese Civil Code, the Code du Travail, and the regulations of the Agence Nationale de l’Informatique (ANI). Any disputes arising from this Purchase Order shall be resolved through the competent courts of Dakar, Senegal.
- Payment Schedule: Payment shall be made in three (3) installments: 30% upon signing of this Purchase Order, 40% upon completion of the deployment and integration phases, and 30% upon final acceptance of all deliverables. All payments shall be made via bank transfer to the account designated by the Computer Engineer in a Senegalese financial institution.
- Intellectual Property: All work product, documentation, code, and designs created by the Computer Engineer under this Purchase Order shall become the exclusive property of TechNova West Africa S.A. upon full payment. The Computer Engineer retains the right to reference the project in professional portfolios with prior written consent.
- Confidentiality: The Computer Engineer agrees to maintain strict confidentiality regarding all proprietary information, system credentials, and business data of TechNova West Africa S.A. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Compliance with Senegalese Regulations: The Computer Engineer warrants that all services rendered under this Purchase Order shall comply with the data protection laws of Senegal (Loi n° 2008-12 du 25 janvier 2008 relative à la protection des données à caractère personnel) and all applicable telecommunications regulations of the Autorité de Régulation des Télécommunications du Sénégal (ARTS).
- Termination: Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of termination, the Computer Engineer shall be compensated for all work completed up to the date of termination, and all deliverables in progress shall be handed over to TechNova West Africa S.A.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, civil unrest in the Dakar region, government-imposed restrictions, or pandemics, as defined under Senegalese law.
- Warranty: The Computer Engineer provides a warranty of twelve (12) months on all technical work performed under this Purchase Order. Any defects or failures discovered within this period shall be remedied at no additional cost to the Purchasing Party.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of Computer Engineer services in Senegal Dakar between the parties identified herein.
