This Purchase Order is issued by TechNova Solutions S.L. to formally request and authorize the procurement of specialized professional services rendered by a qualified Computer Engineer to be deployed and executed within the city of Spain Barcelona. The Computer Engineer engaged under this Purchase Order shall hold a minimum of a Bachelor’s degree in Computer Engineering or Computer Science from an accredited institution in Spain or the European Union, with a minimum of eight (8) years of progressive professional experience in systems architecture, hardware-software integration, and enterprise network design. The Computer Engineer must demonstrate proven expertise in the following technical domains:
- Design and deployment of scalable server infrastructure and data center environments.
- Development and optimization of embedded systems and firmware for industrial IoT applications.
- Network architecture planning, including LAN/WAN configuration, cybersecurity hardening, and redundancy protocols.
- Software-hardware co-design for high-performance computing clusters.
- Compliance with Spanish and European data protection regulations (GDPR) and the Spanish Organic Law 3/2018 on Personal Data Protection.
- Technical documentation, code review, and knowledge transfer to in-house staff based in Spain Barcelona.

4.1 Payment Terms: Payment shall be made in three (3) instalments: 30% upon signing of this Purchase Order, 50% upon completion of Deliverables 01 through 04, and 20% upon successful completion of Deliverable 05 and commencement of the support period. All payments shall be processed via bank transfer to the account designated by Iberia Engineering & Consulting S.L. Payment is due within thirty (30) calendar days of invoice receipt.
4.2 Place of Performance: All on-site services under this Purchase Order shall be performed in Spain Barcelona, specifically at the addresses listed in Section 3. The Computer Engineer shall comply with all applicable local, regional (Catalan), and national (Spanish) labour and occupational health and safety regulations in force in Barcelona, Spain.
4.3 Intellectual Property: All work product, designs, code, firmware, documentation, and deliverables created by the Computer Engineer in the course of this engagement shall be the exclusive property of TechNova Solutions S.L. upon full payment. The Computer Engineer and the Supplier warrant that all deliverables are original and do not infringe upon any third-party intellectual property rights.
4.4 Confidentiality: The Computer Engineer shall be bound by a Non-Disclosure Agreement (NDA) executed prior to the commencement of work. All proprietary information, trade secrets, and technical data of TechNova Solutions S.L. encountered during the engagement in Spain Barcelona shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent.
4.5 Termination: Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of termination, the Buyer shall pay for all services rendered and expenses incurred up to the date of termination. Early termination by the Buyer without cause shall incur a penalty of 10% of the remaining contract value.
4.6 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain.
4.7 Insurance and Liability: The Supplier shall maintain professional indemnity insurance with a minimum coverage of €1,000,000 per claim throughout the duration of this Purchase Order. The Computer Engineer shall be covered under the Supplier’s professional liability policy for any damages arising from negligence or professional error during the execution of services in Spain Barcelona.
