This Purchase Order is issued by Meridian Technology Solutions Ltd. (hereinafter referred to as the "Buyer") to Apex Engineering Consultants Ltd. (hereinafter referred to as the "Supplier") for the engagement of a qualified Computer Engineer to provide specialist technical services at the Buyer's primary operational facility located in United Kingdom London. The Computer Engineer shall be responsible for the design, implementation, maintenance, and optimisation of the Buyer's enterprise computing infrastructure, network architecture, and software development environments situated within the United Kingdom London metropolitan area.
The Purchase Order covers a full-time engagement of one (1) senior Computer Engineer with a minimum of eight (8) years of professional experience in systems engineering, embedded computing, and enterprise network design. The Computer Engineer shall report directly to the Buyer's Chief Technology Officer and shall operate from the Buyer's premises at 142 Fleet Street, London EC4Y 1AA, United Kingdom, during standard business hours of 09:00 to 17:30, Monday through Friday, subject to the terms outlined in this Purchase Order.
The Computer Engineer engaged under this Purchase Order shall perform the following duties and responsibilities at the United Kingdom London site:
- Design, deploy, and maintain the Buyer's server infrastructure, including virtualisation platforms, storage area networks, and high-availability clusters.
- Develop and manage the enterprise network topology, ensuring compliance with UK data protection regulations (UK GDPR) and Information Security Forum (ISF) standards applicable in United Kingdom London.
- Oversee the software development lifecycle for internal applications, including code review, performance benchmarking, and continuous integration/continuous deployment (CI/CD) pipeline management.
- Provide technical leadership and mentorship to a team of four (4) junior engineers based at the United Kingdom London office.
- Conduct quarterly infrastructure audits and produce detailed technical reports for the Buyer's board of directors.
- Manage vendor relationships and hardware procurement for computing equipment, ensuring all installations comply with the specifications set forth in this Purchase Order.
- Ensure all engineering work adheres to British Standards (BS) and relevant UK Health and Safety Executive (HSE) guidelines for the United Kingdom London workplace.

All payments due under this Purchase Order shall be made by direct bank transfer to the Supplier's designated account within thirty (30) calendar days of receipt of a valid invoice. The Supplier shall issue monthly invoices corresponding to the Computer Engineer's professional services rendered in the United Kingdom London location. Late payments shall attract interest at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, as applicable in the United Kingdom.
The Buyer reserves the right to withhold payment for any portion of the Computer Engineer's deliverables that do not meet the quality standards and specifications defined in this Purchase Order. All pricing is fixed for the duration of the twelve-month contract term and shall not be subject to escalation unless mutually agreed in writing by both parties.
The Computer Engineer shall commence duties on or before 01 July 2025 at the Buyer's premises in United Kingdom London. The Supplier is required to provide the Buyer with a copy of the Computer Engineer's curriculum vitae, professional indemnity insurance certificate (minimum cover of £5,000,000), and right-to-work documentation no later than fourteen (14) days prior to the commencement date.
Either party may terminate this Purchase Order by providing sixty (60) days' written notice to the other party. In the event of termination, the Supplier shall ensure a structured handover of all Computer Engineer work-in-progress, documentation, and access credentials to the Buyer within fourteen (14) days of the termination effective date. All intellectual property developed by the Computer Engineer during the course of this engagement shall remain the sole property of the Buyer.
The Computer Engineer engaged under this Purchase Order shall comply with all applicable laws and regulations of the United Kingdom, including but not limited to the Data Protection Act 2018, the UK GDPR, the Computer Misuse Act 1990, and all relevant Health and Safety regulations enforced by the HSE for workplaces in United Kingdom London. The Supplier warrants that the Computer Engineer holds or is in the process of obtaining Chartered Engineer (CEng) status through the Institution of Engineering and Technology (IET) or the Institution of Professional Engineers (IPENZ).
The Supplier shall maintain professional indemnity insurance and public liability insurance throughout the term of this Purchase Order and shall provide certificates of insurance upon request. All work performed by the Computer Engineer at the United Kingdom London site shall be subject to the Buyer's internal security protocols, including badge access, data handling procedures, and confidentiality agreements.
This Purchase Order constitutes a binding offer for the purchase of Computer Engineer professional services as described herein. Acceptance of this Purchase Order by the Supplier shall be confirmed by countersignature below. This document, once executed, shall govern the professional relationship between the Buyer and the Supplier for the engagement of the Computer Engineer at the United Kingdom London facility for the duration specified.
