- This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Supplier upon countersignature by both parties. All terms herein shall be governed by the laws of England and Wales, applicable within the United Kingdom.
- The Computer Engineer shall commence duties no later than 01 September 2025 at the designated office premises in United Kingdom Manchester. Failure to meet this commencement date shall entitle the Purchasing Entity to a pro-rata reduction of 2% per calendar day of delay, up to a maximum of 10% of the total contract value.
- The Computer Engineer must hold a minimum of a Bachelor's degree in Computer Engineering, Computer Science, or a closely related discipline, along with a minimum of five (5) years of demonstrable professional experience in embedded systems design and network architecture.
- Payment terms for this Purchase Order are structured as follows: 30% upon execution of this document, 40% upon successful completion of the first six (6) months of service, and the remaining 30% upon satisfactory completion of the full twelve (12) month contract period. All payments shall be made via BACS transfer to the Supplier's nominated bank account within the United Kingdom.
- The Supplier warrants that the Computer Engineer shall be fully compliant with all United Kingdom employment legislation, including but not limited to the Equality Act 2010, the Working Time Regulations 1998, and the Data Protection Act 2018 (UK GDPR).
- Any amendments, variations, or extensions to this Purchase Order must be documented in writing and signed by authorised representatives of both parties. Verbal agreements shall hold no contractual weight.
- The Computer Engineer shall be required to adhere to Northgate Digital Solutions' internal code of conduct, security protocols, and intellectual property policies while operating within the United Kingdom Manchester facility. All work product generated during the contract period shall be the sole property of the Purchasing Entity.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall be compensated for services rendered up to the effective date of termination, less any applicable deductions for unfulfilled obligations.
- All disputes arising from or in connection with this Purchase Order shall be resolved through mediation in Manchester, United Kingdom, before recourse to litigation in the courts of England and Wales.
By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the provision of a Computer Engineer service within United Kingdom Manchester. This document is valid for a period of thirty (30) days from the date of issue, after which it shall lapse unless renewed in writing.
