This Purchase Order authorizes the procurement of a Computer Engineer to be assigned to the Gulf Coast Advanced Technologies, Inc. facility located in United States Houston, Texas. The Computer Engineer shall perform duties consistent with a senior-level technical role, including but not limited to: designing and prototyping embedded computer systems; developing and optimizing firmware for industrial control applications; conducting hardware-in-the-loop testing; collaborating with cross-functional teams in the United States Houston office; and ensuring all deliverables meet the quality and safety standards mandated by the client's end customers in the aerospace, energy, and defense sectors.
The Computer Engineer shall maintain a minimum of 40 hours per week of productive work, with availability for occasional overtime during critical project milestones. All work products, source code, design files, and intellectual property generated under this Purchase Order shall be the sole property of Gulf Coast Advanced Technologies, Inc. The Computer Engineer is required to sign a Non-Disclosure Agreement (NDA) and an Intellectual Property Assignment Agreement prior to commencing work in United States Houston.
Lone Star Engineering Solutions LLC warrants that the Computer Engineer assigned under this Purchase Order possesses a minimum of eight (8) years of progressive experience in computer engineering, holds a Bachelor's degree or higher in Computer Engineering, Electrical Engineering, or a closely related field, and is legally authorized to work in the United States. The vendor shall replace the assigned Computer Engineer within fifteen (15) business days at no additional cost should the buyer determine that performance is unsatisfactory.
5. Terms and Conditions5.1 Payment Schedule: Invoices for this Purchase Order shall be submitted monthly in arrears. Payment is due within thirty (30) days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month or the maximum rate permitted by Texas state law, whichever is lower.
5.2 Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience, the buyer shall pay for all services rendered through the termination date. In the event of termination for cause, the vendor shall be liable for any documented damages resulting from the breach.
5.3 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes arising hereunder shall be resolved through binding arbitration in United States Houston, Texas, in accordance with the rules of the American Arbitration Association.
5.4 Insurance: The vendor shall maintain comprehensive general liability insurance of not less than $2,000,000 per occurrence and professional liability (errors and omissions) insurance of not less than $1,000,000 for the duration of this Purchase Order.
5.5 Compliance: All services rendered under this Purchase Order shall comply with applicable United States federal laws, Texas state regulations, and local ordinances in United States Houston. The vendor shall ensure the Computer Engineer adheres to all company safety protocols, data security policies, and export control regulations.
5.6 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government actions, or acts of war, provided that the affected party gives prompt written notice to the other party.
6. Acceptance & AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Computer Engineer services in United States Houston. This document constitutes a binding agreement effective as of the date of the last signature below.
