The Computer Engineer engaged under this Purchase Order shall perform duties within the United States Los Angeles area, specifically at the Buyer's primary facility located at 4500 Wilshire Boulevard. The scope of work includes, but is not limited to: designing and implementing scalable computer hardware and software architectures; developing and testing embedded systems for industrial automation; conducting comprehensive network security audits in compliance with California state regulations and federal standards; providing on-site technical support for server rooms, workstations, and peripheral equipment; and delivering structured training programs to the Buyer's internal engineering and IT teams.
The Computer Engineer shall report directly to the Buyer's Chief Technology Officer and shall adhere to all project timelines, quality benchmarks, and documentation standards established by Pacific Crest Technology Solutions, Inc. All work products, including source code, design schematics, technical reports, and system documentation, shall be the exclusive property of the Buyer upon full payment of the amounts specified in this Purchase Order.
PAYMENT TERMS & CONDITIONS- Payment Schedule: Invoices shall be submitted monthly on the last business day of each calendar month. Payment is due within thirty (30) days of invoice receipt via wire transfer to the account designated by Meridian Engineering & Consulting Group LLC.
- Retainage: The Buyer shall retain five percent (5%) of each monthly invoice payment until final project completion and acceptance, at which point the retained amount shall be released within fifteen (15) business days.
- Late Payment: Overdue amounts shall accrue interest at a rate of 1.5% per month, in accordance with California Commercial Code Section 2310, applicable within the United States Los Angeles jurisdiction.
- Tax Compliance: All applicable federal, state (California), and local taxes, including but not limited to sales tax and any applicable United States Los Angeles municipal levies, shall be calculated and remitted as required by law.
- Warranty: The Computer Engineer warrants that all services rendered under this Purchase Order shall be performed in a professional and workmanlike manner, free from defects in design and implementation, for a period of twelve (12) months following final acceptance.
- This Purchase Order is governed by and construed in accordance with the laws of the State of California, United States, and the specific municipal regulations applicable to the city of Los Angeles.
- The Computer Engineer shall maintain all necessary professional licenses, certifications, and insurance coverage (including general liability of no less than $2,000,000 and professional liability of no less than $1,000,000) throughout the duration of this Purchase Order.
- Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall compensate the Computer Engineer for all services rendered and materials procured up to the effective date of termination.
- The Computer Engineer shall comply with all applicable United States federal regulations, California state labor laws, and United States Los Angeles municipal ordinances regarding workplace safety, data privacy (including CCPA compliance), and intellectual property protection.
- Disputes arising under this Purchase Order shall be resolved through binding arbitration in Los Angeles, California, in accordance with the rules of the American Arbitration Association.
- This Purchase Order constitutes the entire agreement between the parties regarding the Computer Engineer services described herein and supersedes all prior negotiations, representations, or agreements, whether written or oral.
